Senior Notes Supplemental Indenture definition

Senior Notes Supplemental Indenture means that certain First Supplemental Indenture, dated as of April 28, 2022, between SVBFG and the Senior Notes Indenture Trustee, supplementing and amending the terms of the Senior Notes Indenture with respect to the 2028 Senior Fixed-to-Floating Rate Notes and the 2033 Senior Fixed-to-Floating Rate Notes.
Senior Notes Supplemental Indenture means a supplemental indenture to the Senior Indenture amending, among other things, Section 4.06(3) and Section 4.03 thereof, as set forth in the Senior Secured Notes due 2021 Offering Memorandum. “Senior Secured Indenture” means an indenture on the terms set forth in the Senior Secured Notes due 2021 Offering Memorandum pursuant to which the Senior Secured Notes due 2021 are issued, as in effect on the Thirteenth Amendment Effective Date. “Senior Secured Notes due 2021” has the meaning given to the term “Notes” as defined in the Senior Secured Indenture with a coupon rate of 10% per annum, in each case as guaranteed by the Borrower and TDC Energy LLC. “Senior Secured Notes due 2021 Offering Memorandum” means that certain Offering Memorandum and Consent Solicitation Statement, dated as of January 14, 2016. 5 “Senior Secured Supplemental Indenture” means a supplemental indenture to the Senior Secured Indenture. “Thirteenth Amendment” means the Thirteenth Amendment to Credit Agreement dated as of January 25, 2016 among the Parent, the Borrower, the Guarantor, the Administrative Agent, and the Lenders party thereto. “Thirteenth Amendment Effective Date” means January 25, 2016.

  • This Senior Notes Supplemental Indenture may be amended, modified, or supplemented only as permitted by the Senior Notes Indenture and by written agreement of each of the parties hereto.

  • The parties may sign any number of copies of this Senior Notes Supplemental Indenture.

  • The Trustee makes no representation as to the validity or sufficiency of this Senior Notes Supplemental Indenture.

  • This Senior Notes Supplemental Indenture may not be used to interpret another indenture, loan or debt agreement of the Issuers, BP I, BP II, RGHL or any of their Subsidiaries.

  • All covenants and agreements of the Issuers and the Additional Senior Note Guarantor in this Senior Notes Supplemental Indenture and the Senior Notes shall bind their respective successors and assigns.

  • The Trustee or the applicable Agent shall notify the Issuers of any claim for which it may seek indemnity promptly upon obtaining actual knowledge thereof; provided, however, that any failure so to notify the Issuers shall not relieve any of the Issuers, BP I or the Additional Senior Note Guarantor executing this Senior Notes Supplemental Indenture of its indemnity obligations hereunder.

  • Debenture Indenture means the Indenture, dated as of December 1, 1989, between United Parcel Service of America, Inc. and Chemical Bank pursuant to which the 8-3/8% Debentures Due April 1, 2020 were issued, as in effect on the date of this Agreement (without giving effect to any amendment, supplement or other modification thereto, any repayment or covenant defeasance thereunder or any termination thereof), a copy of which is attached as Exhibit F hereto.

  • Senior Subordinated Indenture means the Indenture dated as of October 15, 1997 between the Company and State Street Bank and Trust Company, as trustee, as from time to time amended, restated, supplemented or otherwise modified.

  • Existing Senior Notes Indentures means, the indentures governing the Existing Senior Notes, each as may be amended or supplemented from time to time.

  • Subordinated Notes Indenture means that certain Subordinated Debenture Indenture between DH (f/k/a NGC Corporation) and First National Bank of Chicago, as Debenture Trustee, dated as of May 28, 1997 (as amended, restated and supplemented through the Petition Date).
