Senior Notes Supplemental Indenture definition

Senior Notes Supplemental Indenture means that certain First Supplemental Indenture, dated as of April 28, 2022, between SVBFG and the Senior Notes Indenture Trustee, supplementing and amending the terms of the Senior Notes Indenture with respect to the 2028 Senior Fixed-to-Floating Rate Notes and the 2033 Senior Fixed-to-Floating Rate Notes.
Senior Notes Supplemental Indenture means a supplemental indenture to the Senior Indenture amending, among other things, Section 4.06(3) and Section 4.03 thereof, as set forth in the Senior Secured Notes due 2021 Offering Memorandum. “Senior Secured Indenture” means an indenture on the terms set forth in the Senior Secured Notes due 2021 Offering Memorandum pursuant to which the Senior Secured Notes due 2021 are issued, as in effect on the Thirteenth Amendment Effective Date. “Senior Secured Notes due 2021” has the meaning given to the term “Notes” as defined in the Senior Secured Indenture with a coupon rate of 10% per annum, in each case as guaranteed by the Borrower and TDC Energy LLC. “Senior Secured Notes due 2021 Offering Memorandum” means that certain Offering Memorandum and Consent Solicitation Statement, dated as of January 14, 2016. 5 “Senior Secured Supplemental Indenture” means a supplemental indenture to the Senior Secured Indenture. “Thirteenth Amendment” means the Thirteenth Amendment to Credit Agreement dated as of January 25, 2016 among the Parent, the Borrower, the Guarantor, the Administrative Agent, and the Lenders party thereto. “Thirteenth Amendment Effective Date” means January 25, 2016. 2.2 Amendment to Section 3.04 of the Credit Agreement.   • This Senior Notes Supplemental Indenture may be amended, modified, or supplemented only as permitted by the Senior Notes Indenture and by written agreement of each of the parties hereto.

  • All agreements of the Trustee in this Senior Notes Supplemental Indenture shall bind its successors and assigns.

  • The parties may sign any number of copies of this Senior Notes Supplemental Indenture.

  • Any such indenture, loan or debt agreement may not be used to interpret this Senior Notes Supplemental Indenture.

  • This Senior Notes Supplemental Indenture shall form a part of the Senior Notes Indenture for all purposes, and every holder of a Senior Note heretofore or hereafter authenticated and delivered shall be bound hereby.

  • The Trustee makes no representation as to the validity or sufficiency of this Senior Notes Supplemental Indenture.

  • This Senior Notes Supplemental Indenture may not be used to interpret another indenture, loan or debt agreement of the Issuers, BP I, BP II, RGHL or any of their Subsidiaries.

  • All covenants and agreements of the Issuers and the Additional Senior Note Guarantor in this Senior Notes Supplemental Indenture and the Senior Notes shall bind their respective successors and assigns.

  • The Trustee or the applicable Agent shall notify the Issuers of any claim for which it may seek indemnity promptly upon obtaining actual knowledge thereof; provided, however, that any failure so to notify the Issuers shall not relieve any of the Issuers, BP I or the Additional Senior Note Guarantor executing this Senior Notes Supplemental Indenture of its indemnity obligations hereunder.

  • Senior Notes Indenture means the Indenture for the Senior Notes, dated December 29, 2011, between the Borrower and Wilmington Trust, National Association, as trustee, as the same may be amended, modified, supplemented, replaced or refinanced to the extent not prohibited by this Agreement.

  • Senior Subordinated Indenture means the Indenture, dated as of August 30, 2007, among the Company, the subsidiary guarantors party thereto from time to time and Xxxxx Fargo Bank, National Association, as trustee, governing the 13.5% Senior Subordinated Notes due 2015 of the Company, as the same may be amended, supplemented, waived or otherwise modified from time to time.

  • Existing Senior Notes Indentures means, the indentures governing the Existing Senior Notes, each as may be amended or supplemented from time to time.

  • Senior Notes means $500,000,000 in aggregate principal amount of the Borrower’s 6.75% senior unsecured notes due 2025 issued pursuant to the Senior Notes Indenture on the Closing Date.

  • Senior Subordinated Notes Indenture means the Indenture, dated as of July 17, 2012, under which the Senior Subordinated Notes were issued, among the Borrower and the Restricted Subsidiaries party thereto and the trustee named therein from time to time, as in effect on the Closing Date and as amended, restated, supplemented or otherwise modified from time to time in accordance with the requirements thereof and of this Agreement.

  • Original Indenture has the meaning specified in the first paragraph of this Supplemental Indenture.

  • Convertible Notes Indenture means the Indenture dated as of May 31, 2001, as amended by the First Supplemental Indenture dated as of February 20, 2002, among Xxxxxx Xxxxxxx Ltd., Xxxxxx Xxxxxxx LLC, as guarantor, and BNY Midwest Trust Company, as trustee.

  • Senior Unsecured Notes Indenture means the Indenture dated as of July 20, 2011 among Xxxxx Fargo Bank, National Association, as trustee, the Borrower, as issuer, and the guarantors party thereto, as the same may be amended or supplemented from time to time.
