Senior Total Funded Debt definition

Senior Total Funded Debt means, with respect to any Loan at any time the same is to be determined, the sum (but without duplication) of (a) the Dollar Equivalent of all indebtedness for borrowed money of the related Obligor and its Subsidiaries ranking senior or pari passu to such Loan at such time, and (b) the Dollar Equivalent of all indebtedness for borrowed money of any other Person which is directly or indirectly guaranteed by the Obligor or any of its Subsidiaries or which the Obligor or any of its Subsidiaries has agreed (contingently or otherwise) to purchase or otherwise acquire or in respect of which the Obligor or any of its Subsidiaries has otherwise assured a creditor against loss; provided that, in the case of this clause (b), any such obligation under such guarantee, agreement or assurance ranks senior or pari passu with respect to such Loan.
Senior Total Funded Debt means, with respect to any Loan at any time the same is to be determined, the sum (but without duplication) of (a) all indebtedness for borrowed money of the related Obligor and its Subsidiaries ranking senior or pari passu to such Loan at such time, (b) all indebtedness for borrowed money of the related Obligor documented under the same single credit agreement as such Loan (including for the avoidance of doubt the first out and last out tranche of such Loan), and (c) all indebtedness for borrowed money of any other Person which is directly or indirectly guaranteed by the Obligor or any of its Subsidiaries or which the Obligor or any of its Subsidiaries has agreed (contingently or otherwise) to purchase or otherwise acquire or in respect of which the Obligor or any of its Subsidiaries has otherwise assured a creditor against loss; provided that, in the case of this clause (c), any such obligation under such guarantee, agreement or assurance ranks senior or pari passu with respect to such Collateral Loan.
Senior Total Funded Debt means, with respect to any Obligor at any time the same is to be determined, (a) the meaning of “Senior Total Funded Debt” or a comparable term set forth in the Related Documents for such Collateral Loan, or (b) in the case of any Collateral Loan with respect to which the Related Documents do not include a definition of “Senior Total Funded Debt” or a comparable term, the ratio obtained by the sum (but without duplication) of (i) all indebtedness for borrowed money (whether secured or unsecured) of such Obligor and its consolidated Subsidiaries to the Borrower, (ii) all indebtedness for borrowed money of the Obligor and its consolidated Subsidiaries, whether secured or unsecured (other than any indebtedness for borrowed money, whether secured or unsecured, which is subordinated in right of payment of the Collateral Loan to such Obligor) to any other creditor and (iii) all indebtedness for borrowed money of any other Person, whether secured or unsecured, which is directly or indirectly guaranteed by the Obligor or any of its consolidated Subsidiaries.

  • Total Funded Debt means all Funded Debt of the Borrower and its Consolidated Subsidiaries, on a consolidated basis, as determined in accordance with GAAP.

For the avoidance of doubt, (a) Unsecured Longer-Term Indebtedness shall also include any refinancing, refunding, renewal or extension of any Unsecured Longer-Term Indebtedness so long as such refinanced, refunded, renewed or extended Indebtedness continues to satisfy the requirements of this definition and (b) any payment on account of Unsecured Longer-Term Indebtedness shall be subject to Section 6.12.

  • Consolidated Senior Secured Debt Ratio as of the last day of any period of four consecutive Fiscal Quarters, the ratio of (a) Consolidated Senior Secured Debt on such day to (b) Consolidated EBITDA for such period.

  • Senior Net Leverage Ratio means, as of any date of determination, the ratio of (a) Senior Indebtedness on such date to (b) Consolidated Adjusted EBITDA for the period of four consecutive fiscal quarters of the Borrower ended on or prior to such time (taken as one accounting period) in which financial statements for each quarter or fiscal year in such period have been or were required to be delivered pursuant to Section 5.01(a) or (b) without giving effect to any grace period applicable thereto.

  • First Lien Net Leverage Ratio means, with respect to any Test Period, the ratio of (i) Consolidated Total Indebtedness secured on a first lien basis, net of Unrestricted Cash, as of the last day of such Test Period, to (ii) Consolidated EBITDA for such Test Period.
