Series A Junior Participating Preferred Units that has substantially the same rights and preferences with respect to distributions of the Company in relation to Class A Units as shares of Series A Junior Participating Preferred Stock of the Managing Member are entitled with respect to dividends and distributions of the Managing Member in relation to shares of Class A common stock of the Managing Member.

Series A Junior Participating Preferred Units has the meaning set forth in Section 7.01(c).

Series A Junior Participating Preferred Units means Units that are specifically designated by the General Partner as Series A Junior Participating Preferred Units in accordance with Section 4.2.C.

Examples of Series A Junior Participating Preferred Units in a sentence

Notwithstanding anything contained herein to the contrary, the Series A Junior Participating Preferred Units shall rank junior to all other series of the General Partner’s preferred units as to the payment of distributions and the distribution of assets in liquidation, unless the terms of any such series shall provide otherwise.
In addition, nothing contained in this Exhibit F shall be deemed to limit or otherwise restrict any rights or authority of the General Partner under the Partnership Agreement, other than in its capacity as the holder of the Series A Junior Participating Preferred Units.
The Board of Directors of the General Partner may fix a record date for the determination of holders of Series A Junior Participating Preferred Units entitled to receive payment of a distribution declared thereon, which record date shall be no more than 60 days prior to the date fixed for the payment thereof.
The Series A Junior Participating Preferred Units shall have the designations, preferences, rights, restrictions and limitations set forth in Exhibit F hereto.
Distributions paid on the Series A Junior Participating Preferred Units in an amount less than the total amount of such distributions at the time accrued and payable on such units shall be allocated pro rata on a unit-by-unit basis among all such units at the time outstanding.
The rights of the General Partner, in its capacity as the holder of the Series A Junior Participating Preferred Units, are in addition to and not in limitation on any other rights or authority of the General Partner, in any other capacity, under the Partnership Agreement.

Related to Series A Junior Participating Preferred Units

Series A Preferred Units has the meaning assigned to such term in Section 5.11(a).
Series B Preferred Units shall have the meaning provided in Section 1.
Series C Preferred Units shall have the meaning provided in Section 1.

Series A-1 Preferred Stock means shares of the Company’s Series A-1 Preferred Stock, par value $0.0001 per share.
Series B Preferred Stock means shares of the Company’s Series B Preferred Stock, par value $0.0001 per share.
Company Series A Preferred Stock means the Series A Preferred Stock, par value $0.0001 per share, of the Company.
Senior Preferred Stock means the Series A Preferred Stock and the Series B Preferred Stock.
Class B Preferred Stock means the Class B preferred stock, nominal value $1,000, of the Company.
Series F Preferred Stock means shares of the Company’s Series F Preferred Stock, par value $0.0001 per share.
