Series A Percentage definition

Series A Percentage means, at any time, the percentage that the Series A Revolving Credit Commitments comprise of the Revolving Credit Commitments at such time. For the avoidance of doubt, the sum of the Series A Percentage, the Series B Percentage and the Series C Percentage shall at all times equal 100%.
Series A Percentage means the quotient, rounded to the fourth decimal place, of (A) the quotient of 1,910.51 divided by 2,025.8, divided by (B) the number of shares of Series A Preferred Stock, or issuable upon exercise or conversion of all options or warrants for, securities convertible into, or other rights to acquire Series A Preferred Stock, outstanding immediately prior to the Effective Time.

  • In the event that, upon any such voluntary or involuntary liquidation, dissolution or winding up of the Partnership, the legally available assets of the Partnership are insufficient to pay the full amount of the Series A Preference on all outstanding Series A Preferred Units plus any accrued and unpaid Series A Priority Return, then such assets shall be allocated among the Series A Limited Partners in proportion to the Series A Percentage Interests.
