Series B Percentage definition

Series B Percentage means the Series B Investment Amount divided by the Total Preferred Stock Investment Amount.

Series B Percentage means, at any time, the percentage that the Series B Revolving Credit Commitments comprise of the Revolving Credit Commitments at such time. For the avoidance of doubt, the sum of the Series A Percentage, the Series B Percentage, the Series C Percentage and the Series D Percentage shall at all times equal 100%.

Series B Percentage shall have the meaning set forth in the Certificate of Incorporation of the Company.

Series B Percentage means a number, expressed as a percentage, calculated by dividing (i) that number of shares of Series B Preferred Stock, Series B-1 Preferred Stock, Series B Prime Preferred Stock and Series B-1 Prime Preferred Stock outstanding as of immediately prior to the Effective Time on an as-converted to Target Common Stock basis plus the number of shares of Series B-1 Preferred Stock underlying the Eligible Target Warrants outstanding as of immediately prior to the Effective Time which are exercisable for shares of Series B-1 Preferred Stock by (ii) the Fully Diluted Amount, and multiplying such quotient by 100.

Series B Percentage means, as of any time of determination, the product of (a) 6% and (b) the quotient determined by dividing (i) the total number of Series B Units then outstanding (excluding, for the avoidance of doubt, the total number of previously issued Series B Units that have been forfeited to the Company, if any) by (ii) the total number of Series B Units authorized pursuant to Section 3.2(a).

Series B Percentage means the “Series B Percentage” set forth in the Closing Certificate.
