Series B-1 Preference Amount means $259,200.
Series B-1 Preference Amount is the number of outstanding shares of Series B-1 Preferred Stock multiplied by $0.81430 per share, which equals $28,900,355.
Series B-1 Preference Amount means the sum of (i) Forty-Five Cents ($0.45) per share of Series B-1 Preferred Stock plus (ii) an amount equal to Forty-Five Cents ($0.45) times the dividend rate of eight percent (8%), compounded annually from the date of issuance of such share of Series B-1 Preferred Stock until the Closing Date, in accordance with the Charter Documents.
