Preferred Value definition

Preferred Value per share of Preferred Stock means the Stated Value of such Share, plus, without duplication, all accrued and unpaid dividends on such share to and including the applicable date of Warrant exercise.
Preferred Value means an amount equal to the product of $25 and the number of Series A Preferred Membership Units outstanding.

Preferred Value means on any date with respect to a Series A Preferred Share or Other Preferred Share, the market price on such date or, if such date is not a trading day, then the market price on the immediately preceding day that is a trading day; PROVIDED, that for purposes of determining the Cash Amount with respect to Tendered Units of an Exchanging Partner, the term "PREFERRED VALUE" shall mean the average of the daily market prices for ten consecutive trading days immediately preceding the date of receipt by the Special Limited Partner of a Notice of Exercise of Exchange Right.
