Series D Cash Consideration definition

Series D Cash Consideration means 20% of the Series D Preference Amount.
Series D Cash Consideration means an amount per share equal to (A) the Merger Consideration minus the Carve-Out Payments minus the Company Debt minus the Common Stock Consideration divided by (B) the total number of shares of Series D Preferred Stock issued and outstanding immediately prior to the Effective Time. For the avoidance of doubt the Series D Cash Consideration cannot be less than zero.
