Series D Common Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Series D Common Warrants shall be immediately exercisable following their issuance and have a term of exercise equal to five (5) years from the initial exercise date, in the form of Exhibit B attached hereto.

Series D Common Warrants means, collectively, the Series D Common Stock Purchase Warrants to purchase shares of Common Stock delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Series D Common Warrants shall be exercisable on the earlier of (i) if permissible by the applicable rules and regulations of the Nasdaq Stock Market, payment by the Purchasers of $0.125 per share (as defined below) (which is payable in addition to the applicable exercise price of such Series D Common Warrants), and (ii) the Shareholder Approval Date, and have a term equal to five (5) years, in the form of Exhibit A-1 attached hereto.
