Series F Investors definition

Series F Investors and “Series F Investor” has the meaning set forth in the preamble.

Series F Investors shall have the meaning ascribed to it in the preamble.

Series F Investors means Kwai, CTG Evergreen Investment XX Limited, Image Frame Investment (HK) Limited and/or Baidu SPV, as applicable.

Examples of Series F Investors in a sentence

• If, on or prior to the date of this Agreement, any Shareholder of the Company is granted any privileges and/or rights under any agreements other than the Transaction Documents, the Series B Investors, the Series B+ Investors, the Series C Investors, the Series D Investors, the Series E Investors and the Series F Investors shall automatically be granted the same privileges and/or rights pari passu with such Shareholder of the Company.

• Series F Investors shall have the right to request the un-redeemed Series F Preferred Shares to be redeemed as soon as possible when the Repurchaser has sufficient funds to pay the full amount of the Series F Redemption Price for each un-redeemed Series F Preferred Shares.

• The Charter Documents of each Group Company are in the form provided to the Series F Investors.

• B The Company, the Founder, the Investors (other than the Series F Investors) and certain other parties named therein have entered into a Shareholders Agreement dated as of December 30, 2021 (the “Prior Shareholders Agreement”), which will be replaced and superseded in its entirety by this Agreement.

• Notwithstanding anything contained herein or in that certain Securities Purchase Agreement, dated June 2, 2004, by and among the Series F Investors and the Company to the contrary, subject to applicable law, Nomura International plc’s director nominee shall be permitted to disclose to Nomura International plc all information and materials furnished to directors at meetings or otherwise.
