Servicing Rights Repurchase Price. The sum of the following: (a) the applicable Purchase Price paid by the Purchaser for the Servicing Rights multiplied by a fraction, the numerator of which equals the current unpaid principal balance of the related Mortgage Loan and the denominator of which is equal to the original unpaid principal balance of such Mortgage Loan (provided that if the related Mortgage Loan has been the subject of a modification or any other principal reduction or forbearance, for the purposes of this calculation, the denominator shall not be reduced by the amount of any principal reduction made in connection with such modification, principal reduction or forbearance); (b) all other sums paid by the Purchaser to the Seller for the Servicing Rights and for the related Advances made by the Purchaser to the extent the Purchaser has not been reimbursed for such Advances in connection with the related Mortgage Loans and the Servicing Rights (excluding any of the Purchase Price); (c) all other unreimbursed Losses incurred by the Purchaser in connection with the related Mortgage Loans and Servicing Rights (including any and all penalties and premiums owed to the applicable Investor with respect to such Mortgage Loans and Servicing Rights); and (d) any additional reasonable amount that the Purchaser or any affiliate is required to pay to an unaffiliated third party to give effect to Seller’s repurchase of the Servicing Rights.
Servicing Rights Repurchase Price. The sum of the following: (a) the applicable Purchase Price paid by the Purchaser for the applicable Servicing Rights, multiplied by a fraction, the numerator of which equals the current unpaid principal balance of the related Mortgage Loan and the denominator of which is the unpaid principal balance of such Mortgage Loan as of the Sale Date; (b) all other sums paid by the Purchaser to the Seller for the applicable Servicing Rights and for the related Advances made by the Purchaser to the extent the Purchaser has not been reimbursed for such Advances in connection with the related Mortgage Loan and the Servicing Rights; (c) all other unreimbursed Losses incurred by the Purchaser in connection with the related Mortgage Loan and Servicing Rights (including any and all penalties and premiums owed to the applicable Investor with respect to such Mortgage Loan and Servicing Rights); (d) the cost of any transfer fees such as documentary stamp taxes, recording taxes, and transfer taxes incurred in connection with such repurchase; and (e) any additional reasonable amount that the Purchaser or any affiliate is required to pay to repurchase the applicable Servicing Rights from any subsequent assignment, transfer or conveyance.
Servicing Rights Repurchase Price. The sum of the following: (a) the product of the unpaid principal balance of the Mortgage Loan at the Cut-Off Date multiplied by the Purchase Price Percentage and such product multiplied by a fraction, the numerator of which equals the current unpaid principal balance of the related Mortgage Loan and the denominator of which is the unpaid principal balance of such Mortgage Loan as of the Cut-Off Date; (b) if the Seller elects to repurchase the related Servicing Rights, all unreimbursed Advances paid by the Purchaser to the Seller hereunder and for the related Advances made by the Purchaser to the extent the Purchaser has not been reimbursed for such Advances in connection with the related Mortgage Loans and the Servicing Rights; and (c) if the Seller elects to repurchase the related Servicing Rights, the cost of any transfer fees such as documentary stamp taxes, recording taxes, and transfer taxes.

Examples of Servicing Rights Repurchase Price in a sentence

  • Simultaneously with the payment of the Servicing Rights Repurchase Price, the Purchaser shall transfer ownership of such Servicing Rights to the Seller, and shall promptly deliver all funds, Mortgage Loan Files, and servicing data with respect to such Mortgage Loan, deliver any notices to Mortgagors or other parties as required, and prepare and execute any necessary assignments of mortgage or transfers in MERS.

  • Within five (5) Business Days of such repurchase of a Mortgage Loan, the Seller shall also pay to the Purchaser without duplication, the Servicing Rights Repurchase Price for the related Servicing Rights.

  • In the event that the Purchaser notifies the Seller in writing that it is exercising its option to require the Seller to repurchase such Servicing Rights, the Seller shall remit the applicable Servicing Rights Repurchase Price within [***] days of such notice, and repurchase such Servicing Rights from the Purchaser in accordance with Applicable Requirements.

  • If such breach is not cured within such thirty (30) day period or cannot be cured, then upon five (5) Business Days’ written notice to Seller of such Defective Servicing Right, Seller shall pay to Purchaser the Servicing Rights Repurchase Price for such Defective Servicing Right and, at the election of Seller in its sole and absolute discretion, Purchaser shall transfer the Servicing Rights back to Seller or its designee.

  • Purchaser, as a result of its Due Diligence, may in its reasonable discretion, request repurchase of a Defective Servicing Right by notifying Seller in writing of such request, and Seller shall pay Purchaser the Servicing Rights Repurchase Price for the related Servicing Rights within five (5) Business Days of its receipt of such notice.

Servicing Rights Repurchase Price. The sum of the following with respect to any Eligible Asset purchased under this Agreement: (a) (i) the applicable Purchase Price Percentage, which shall be reduced by [***] percent ([***]%) on each anniversary of the Sale Date and shall equal zero (0) on the [***] anniversary of the Sale Date, multiplied by (ii) the unpaid principal balance of the related Mortgage Loan, provided, however, that if the related Mortgage Loan has been the subject of a modification or any other principal reduction or forbearance, for the purposes of this calculation, the unpaid principal balance of the Mortgage Loan shall not be reduced by the amount of any principal reduction made in connection with such modification, principal reduction or forbearance; plus (b) the related advances made by the Purchaser to the extent the Purchaser has not been reimbursed for such advances in connection with the related Mortgage Loan and Servicing Rights; plus (c) the cost of any transfer fees such as documentary stamp taxes, recording fees, and transfer taxes. The calculation of the Servicing Rights Repurchase Price shall be based on the date on which the Purchaser submits the related claim to the Seller, for the purpose of the reduction described in clause (a)(i), but shall be based on the unpaid principal balance of the Mortgage Loan as of the date of repurchase, for the purpose of calculation of the unpaid principal balance as described in clause (a)(ii). Any Servicing Rights Repurchase Price payable pursuant to this Agreement shall be reduced by any applicable Document Holdback Amount, which has not been released to the Seller pursuant to this Agreement.

Servicing Rights Repurchase Price means the amount set forth in Section 3.05 to be paid by Seller to Purchaser upon the repurchase of the Servicing Rights for any of the Mortgage Loans.

Related to Servicing Rights Repurchase Price

  • Servicing Rights means rights of any Person, to administer, service or subservice, the Purchased Assets or to possess related Servicing Records.

  • Mortgage Loan Purchase Price The price, calculated as set forth in Section 10.01, to be paid in connection with the repurchase of the Mortgage Loans pursuant to Section 10.01.

For purposes of determining the amount of unpaid interest which accrued during a given period with respect to a variable-rate Shared-Loss Loan, all collections of interest shall be deemed to be applied to unpaid interest in the chronological order in which such interest accrued.

  • Repurchase Price means, with respect to any Loan, first taking the Book Value of the Asset at Bank Closing and either subtracting the Asset discount or adding the Asset premium, and subsequently adjusting that total by (i) adding any advances and interest on such Loan after Bank Closing, (ii) subtracting the total amount received by the Assuming Institution for such Loan after Bank Closing, regardless of how applied, and (iii) adding total disbursements of principal made by Receiver not otherwise included in the Book Value.

  • Additional Servicing Fee means, for any Collection Period, if a successor Servicer has been appointed pursuant to Section 8.2 of the Sale and Servicing Agreement, the amount, if any, by which (i) the compensation payable to such successor Servicer for such Collection Period exceeds (ii) the Monthly Servicing Fee for such Collection Period.
