Severance Amounts definition

Severance Amounts shall have the meaning set forth in Section 2.1(d).
Severance Amounts means any amounts paid after severance from employment, except the following:
Severance Amounts means all out-of-pocket compensation, bonuses, fees and expenses payable by Company or any of its Subsidiaries to any of its employees or directors in connection with or by reason of the transactions contemplated hereby and the consummation of any thereof, including payments and amounts of the categories, natures and types reflected in the statement in Section 5.6(e) of the Company Disclosure Letter and including all costs and payments to be paid as contemplated by Section 5.6(e), but in any case not including payments described in Note 2 of Section 5.6(e) of the Company Disclosure Letter, and any other amount that is stated in Section 5.1(a)(18)(z) to be, or be deemed to be, a Severance Amount. By way of example but not limitation of the generality of the foregoing definition, set forth in Section 5.6(e) of the Company Disclosure Letter is an estimate, as of the date of this Agreement, of the “Severance Amounts.”

Examples of Severance Amounts in a sentence

  • If Employee executes the general release and the general release becomes irrevocable by no later than the Suspension Termination Date, then payment of any Severance Amounts that were suspended pursuant to this provision shall be made in the first payroll period that follows the Suspension Termination Date, and any Severance Amounts that are payable after the Suspension Termination Date shall be paid at the times provided in Section 5.

  • Payment of the Severance Amounts shall be suspended during the period (the “Suspension Period”) that begins on Employee’s termination date and ends on the date (“Suspension Termination Date”) that is thirty-five (35) days after Employee’s termination date; provided, however, that this suspension shall not apply, and Employer shall be required to provide, any continued health insurance coverage that would be required under Section 5.9 hereof during the Suspension Period.

  • Payment of the Severance Amounts shall be suspended during the period (the “Suspension Period”) that begins on Employee’s termination date and ends on the date (“Suspension Termination Date”) that is at least forty-five (45) days after Employee’s termination date; provided, however, that this suspension shall not apply, and Employer shall be required to provide, any continued health insurance coverage (or COBRA reimbursement) that would be required under Section 4 hereof during the Suspension Period.

  • If Employee executes the Release and the Release becomes irrevocable by no later than the Suspension Termination Date, then payment of any Severance Amounts that were suspended pursuant to this provision shall be made in the first payroll period that follows the Suspension Termination Date, and any Severance Amounts that are payable after the Suspension Termination Date shall be paid at the times provided in Section 4 hereof.

  • Notwithstanding the foregoing, to the extent that such thirty-five (35) day period begins in one taxable year of Employee and ends in a second taxable year of Employee, the Severance Amounts shall begin in the second taxable year and within such thirty-five (35) day period.


More Definitions of Severance Amounts

Severance Amounts means the severance amounts which may be paid to certain Employees in accordance with Section 6.3.
Severance Amounts has the meaning set forth in Section 8.4(c).
Severance Amounts means all out-of-pocket compensation, bonuses, fees and expenses payable by Company or any of its Subsidiaries to any of its employees or directors in connection with or by reason of the transactions contemplated hereby, and any other amount that is stated elsewhere in this Agreement to be, or be deemed to be, a Severance Amount.
Severance Amounts means the amount of severance payable to a Participant pursuant to the terms of his or her Amended Participation Agreement or pursuant to the terms of this Amended Plan.
Severance Amounts means any and all payments or other benefits or amounts due from the Company or any of its Subsidiaries to employees resulting from the transactions contemplated by this Agreement (including any benefits or amounts due in connection with a termination of employment) pursuant to (A) any employment agreement, plan or policy, (B) the Frontier Drilling USA, Inc. Employee Change in Control and Severance Benefit Plan for Non-Executive Employees, and (C) the Frontier Drilling USA, Inc. Employee Change in Control Plan for Shore-Based Staff.
Severance Amounts means the amount of severance payable to a Participant pursuant to the terms of his or her Participation Agreement.
Severance Amounts shall have the meaning specified in Section 3.22 hereof.
