Share Authorization Date definition

Share Authorization Date means the effective date of the amendment to the Corporation’s Certificate of Incorporation filed with Secretary of State of the State of Delaware increasing the number of authorized shares of the Corporation’s Common Stock to such amount as shall permit all of the outstanding shares of Series B-2 Preferred Stock to be converted and all outstanding Warrants to be exercised into the Corporation’s Common Stock.
Share Authorization Date means the effective date of the amendment to the Corporation’s Certificate of Incorporation filed with Secretary of State of the State of Delaware increasing the number of authorized shares of the Corporation’s Common Stock to such amount as shall permit all of the outstanding shares of Series B-2 Preferred Stock and Warrants to be converted or exercised into Common Stock.
Share Authorization Date means the first date on which the number of shares of Common Stock duly authorized for issuance under the Company’s Certificate of Incorporation are sufficient to cover the issuance of all shares issuable upon a “Cash Exercise” of all Warrants issued pursuant to the Facility Agreement on the Issuance Date and the full conversion of all principal amounts outstanding under all Notes issued under the Facility Agreement on the Issuance Date (regardless of whether or not such exercises or conversions actually occur).

Examples of Share Authorization Date in a sentence

  • On or after the Share Authorization Date, each share of Series B-2 Preferred Stock shall be, convertible by the Holder thereof into a number of Conversion Shares of the Corporation equal to the Stated Value of the Series B-2 Preferred Stock to be converted divided by $0.10, as adjusted for stock splits, combinations, and reclassifications (“Preferred Conversion Price”).

  • At the option of the Holder, with such Holder's express written consent, the Company shall deliver unregistered Common Stock after the Share Authorization Date but prior to the Effective Date of the Registration Statement.

  • Accordingly, the Preferred Shares may not be converted, and the Warrants may not be exercised, until the Share Authorization Date.

  • From and after the Share Authorization Date, the Company shall at all times reserve for issuance such number of authorized and unissued shares of Common Stock (or other securities substituted therefor as herein above provided) as shall be sufficient for the Exercise of this Warrant and payment of the Exercise Price.

  • At any time on or after the Share Authorization Date, the Corporation shall have the right, without the consent of or any action by or on behalf of the Holder, to cause all but not a portion of the then outstanding Series B-1 Preferred Stock, to be converted into Common Stock at the applicable Preferred Conversion Rate (the “Company Conversion Right”).

  • Subject to the terms and conditions hereof, the Holder of this Warrant may exercise this Warrant on or after the Share Authorization Date at any time and from time to time until the fifth (5th) anniversary of the Original Issue Date (the “Exercise Period”).

  • At the option of the Holder, with such Holder’s express written consent, the Company shall deliver unregistered Common Stock after the Share Authorization Date but prior to the Effective Date of the Registration Statement.


More Definitions of Share Authorization Date

Share Authorization Date means the first date on which the number of shares of Common Stock duly authorized for issuance under the Company’s Certificate of Incorporation, as amended to date, are sufficient to cover the issuance of (i) all shares issuable upon a “Cash Exercise” of all warrants issued pursuant to the Facility Agreement (as defined above) and (ii) the full conversion of all principal amounts outstanding under all Notes issued under the Facility Agreement (regardless of whether or not such exercises or conversions actually occur). Defined terms not otherwise defined in this definition shall have the meanings set forth in the Facility Agreement.
Share Authorization Date means the first date, if at all, prior to the occurrence of a Share Authorization Default on which the number of shares of Common Stock duly authorized for issuance under the Company’s Certificate of Incorporation are sufficient to cover (in addition to all shares issuable upon conversion or exercise of all convertible or exercisable Securities of the Borrower) the issuance of all shares issuable upon a “Cash Exercise” of all outstanding Warrants issued pursuant to this Agreement and the full conversion of all principal amounts outstanding under all Notes issued under this Agreement (regardless of whether or not such exercises or conversions actually occur).
Share Authorization Date means the first date, if at all, prior to the occurrence of a Share Authorization Default (as defined in the Facility Agreement) on which the number of shares of Common Stock duly authorized for issuance under the Company’s Certificate of Incorporation are sufficient to cover the issuance of all shares issuable upon a “Cash Exercise” of all outstanding Warrants issued pursuant to the Facility Agreement and the full conversion of all principal amounts outstanding under all Notes issued under the Facility Agreement (regardless of whether or not such exercises or conversions actually occur).
Share Authorization Date has the meaning set forth in Section 3(g).

Related to Share Authorization Date

  • Service Authorization means that Open Ecosystem Partner needs to meet specific qualification requirements for the products included in a “Service” Product Family that Open Ecosystem Partner wants to promote and offer Services for as set out in detail in the Open Ecosystem Program Guide.

  • Private Authorizations means all franchises, permits, licenses, approvals, consents and other authorizations of all Persons (other than Governmental Authorities).

  • Company Authorizations is defined in Section 3.4(b).

  • Sell Authorization means that Distributor needs to meet specific training and qualification requirements for each product included in an “On Premise” Product Family that Distributor wants to resell as set out in detail in the Distributor Program Guide and the applicable RSPI.

  • Service Authorization Request means a Provider’s or Enrollee’s request to the Contractor for the provision of a service.

  • Prior authorization means that we must approve the Services in advance in order for the Services to be covered.

  • Authorization Form means a form specified in s. 440.73.

  • ACH Authorization means the ACH Debit Authorization Agreement in substantially the form of Exhibit H, which account numbers shall be redacted for security purposes if and when filed publicly by the Borrower.

  • Required Approvals shall have the meaning ascribed to such term in Section 3.1(e).

  • Shareholder Approval Date means the date on which this Plan is approved shareholders of the Company eligible to vote in the election of directors, by a vote sufficient to meet the requirements of Code Sections 162(m) (if applicable) and 422, Rule 16b-3 under the Exchange Act (if applicable), applicable requirements under the rules of any stock exchange or automated quotation system on which the Shares may be listed on quoted, and other laws, regulations and obligations of the Company applicable to the Plan.

  • Required Shareholder Approval has the meaning in Section 2.20.

  • Authorization Letter means a letter agreement executed by Borrower in the form of EXHIBIT A.

  • Required Company Stockholder Vote shall have the meaning set forth in Section 2.5.

  • Governmental Authorization means any permit, license, authorization, plan, directive, consent order or consent decree of or from any Governmental Authority.

  • Parent Shareholder Approval means the affirmative vote of the holders of a majority of the votes cast by holders of outstanding shares of Parent Stock on the proposal to approve the issuance of Parent Stock as provided in this Agreement at the Parent Special Meeting.

  • Buyer Common Stock means the common stock, par value $0.01 per share, of Buyer.

  • Fully Diluted Shares means, at any time of determination, the number of shares of common stock of the applicable entity outstanding at such time, plus the number of shares of issuable upon exercise or conversion or otherwise pursuant to any in-the-money common stock equivalents of such entity outstanding at such time.

  • Authorizations means all filings, recordings, and registrations with, and all validations or exemptions, approvals, orders, authorizations, consents, franchises, licenses, certificates, and permits from, any Governmental Authority.

  • Company Shareholder Approval has the meaning set forth in Section 4.03(d).

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Stockholder Approval Date means the date on which Stockholder Approval is received and deemed effective under Delaware law.

  • Merger Sub Common Stock means the common stock, par value $0.01 per share, of Merger Sub.

  • Share Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) of the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such.

  • Governmental Authorizations means any approval, consent, license, permit, waiver, or other authorization issued, granted, given, or otherwise made available by or under the authority of any Governmental Entity or pursuant to any Legal Requirement.

  • Company Stockholder Approval has the meaning set forth in Section 4.2(b).

  • Acquiror Common Stock means the common stock, $0.001 par value per share, of Acquiror.
