Share Election definition

Share Election has the meaning ascribed thereto in Section 3.2(a)(ii);
Share Election means, unless otherwise determined by the Administrator, a Non-Employee Director’s written election to receive payment of a percentage of such Director’s Fees in the form of Restricted Stock or Restricted Stock Units, as determined by the Administrator in its sole discretion, subject to the terms and conditions of this Plan. Unless the Administrator determines otherwise, a Share Election shall be irrevocable.
Share Election means the election by a Director to receive shares of Common Stock in lieu of Meeting Fees as set forth in Section 5(b) hereof.

Examples of Share Election in a sentence

  • As of the Election Date (as hereinafter defined), any share of Company Common Stock with respect to which there shall not have been effected such election by submission to the Exchange Agent (as defined in Section 2.03) of an effective, properly completed Ordinary Share Election Form shall be converted in the Merger into the right to receive the ADS Consideration.

  • Participant’s Fiber Segment Share Election, Minimum Bandwidth Election and the description of any Bandwidth Aggregation are set forth on Exhibit A, which is attached hereto and incorporated herein by reference.
