Examples of Shared Contracts in a sentence
Seller and Buyer shall use commercially reasonable efforts to have the Specified Shared Contracts separated into separate Contracts between the applicable third party and each of (a) the business retained by Seller and its Affiliates and (b) the Business (including the Transferred Entities).
The Parties acknowledge, agree and understand that the Shared Contracts are currently used in the Business, but will remain with Seller, and, except as set forth in the Shared Services Agreement, Buyer (and the Company) will no longer benefit from or otherwise have access to the services provided thereunder.
Schedule 6.11(a) sets forth a list of the material Contracts that are shared between Seller and the Company (where "shared" means the Company or the Business is currently benefiting from or otherwise accessing the services provided thereunder (i) but the Company is not a counterparty to such Contract or (ii) both the Company and Seller are parties to the underlying Contract) (the "Shared Contracts").
Seller or its Affiliates are party to one or more Shared Contracts, including the Shared Contracts set forth on Section 4.13(a)(xiii) of the Disclosure Schedule.
For the avoidance of doubt, understandings or Contracts entered into by Parent or any of its Affiliates, other than any Company, with a third party, shall not be terminated pursuant to this Agreement; provided, however, except to the extent expressly provided in this Agreement (including in Section 6.22 with respect to Shared Contracts), any of the Ancillary Agreements or otherwise agreed to by Parent and Buyer, the Business shall no longer receive any benefits under such understandings or Contracts.
