Shared Contracts definition

Shared Contracts means contracts pursuant to which a non-affiliated third party provides material services, Intellectual Property, Software or benefits to Seller or one or more of its Affiliates (including the Acquired Companies) in respect of both the Business and any other business of Seller and its Affiliates (other than the Acquired Companies).
Shared Contracts has the meaning specified in Section 4.12(b).
Shared Contracts shall have the meaning set forth in Section 2.2(a).

  • Seller and Buyer shall use commercially reasonable efforts to have the Specified Shared Contracts separated into separate Contracts between the applicable third party and each of (a) the business retained by Seller and its Affiliates and (b) the Business (including the Transferred Entities).

  • The Parties acknowledge, agree and understand that the Shared Contracts are currently used in the Business, but will remain with Seller, and, except as set forth in the Shared Services Agreement, Buyer (and the Company) will no longer benefit from or otherwise have access to the services provided thereunder.
