Shareholder Indebtedness definition

Shareholder Indebtedness means the aggregate amount of the Shareholder Notes together with accrued and unpaid interest thereon through the Final Payment Date; provided that, from the Closing Date through the Final Payment Date, interest on the Shareholder Notes shall accrue at the interest rate in effect on the Closing Date under the Company's term loan with United States National Bank of Oregon and each Shareholder Note shall be deemed to be amended accordingly.
