Significant Subsidiary Guarantor definition

Significant Subsidiary Guarantor means a Significant Subsidiary that is a Subsidiary Guarantor.
Significant Subsidiary Guarantor means any Subsidiary Guarantor that would be a “significant subsidiary” as defined in Article 1, Rule 1-02 of Regulation S-X, promulgated pursuant to the Securities Act, as such Regulation is in effect on the date of this Indenture.
Significant Subsidiary Guarantor means, as at any date, any Subsidiary Guarantor having assets with a fair market value of $100,000,000 or more.

Significant Subsidiary Guarantor means (i) any Guarantor that would be a “significant subsidi- ary” as defined in Article 1, Rule 1-02 of Regulation S-X, promulgated pursuant to the Securities Act, as such Regulation is in effect on the Issue Date or (ii) any Guarantor or group of Guarantors that in the ag- gregate has Consolidated Total Assets in amount of greater than 10% of Consolidated Total Assets of the Issuer and its Subsidiaries (taken as a whole) for the most recently ended four full fiscal quarters for which internal financial statements are available.
