From the date on which the Borrower is converted to a limited liability company as more particularly described, and consented to, in the Sixth Supplemental Deed, it shall be a company duly formed and validly existing under the laws of the country of its incorporation, possessing perpetual corporate existence, the capacity to sue and be sued in its own name and the power to own and charge its assets and carry on its business as it is now being conducted.
