In connection with the Registration Statement, you have requested our opinion as to certain U.S. federal income tax matters set forth in the section entitled “Material U.S. Federal Income Tax Considerations—Material U.S. Federal Income Tax Considerations with Respect to the Spartan Merger for Holders of Spartan Class A Common Stock and Spartan Warrants—Tax Characterization of the Spartan Merger” (the “Spartan Merger Tax Disclosure”).

No dividends or other distributions declared or made after the Effective Time with respect to the Spartan Class A Common Stock or Spartan Class B Common Stock with a record date after the Effective Time shall be paid to the holder of any unsurrendered Certificate with respect to the shares of Spartan Class A Common Stock or Spartan Class B Common Stock represented thereby until the holder of such Certificate shall surrender such Certificate in accordance with Section 3.02(b).
In lieu of any fractional share of Spartan Class A Common Stock or Spartan Class B Common Stock to which any holder of Company Common Stock or Company Founders Stock would otherwise be entitled, the Exchange Agent shall round up or down to the nearest whole share of Spartan Class A Common Stock or Spartan Class B Common Stock, as applicable, with a fraction of 0.5 rounded up.
The sale and issuance by Spartan of Spartan Class A Common Stock in connection with the Private Placements shall have been consummated prior to or in connection with the Effective Time.
