Specified Company Shares means any shares of Company Common Stock to be canceled in accordance with Section 3.1(b).

  • Each issued and outstanding share of Company Common Stock (other than (A) the Specified Company Shares and (B) those shares of Company Common Stock purchased for cash pursuant to Section 3.1(a)(iv)) shall be converted into and shall thereafter represent the right of the holder thereof to receive the Per Share Merger Consideration, plus any amounts payable to such holder in accordance with Article IX.

  • Company Shares means the common shares in the capital of the Company;

  • Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Company Shareholders means holders of Company Shares.

  • Company Shareholder means a holder of one or more Company Shares;

  • Company Shareholder Approval has the meaning set forth in Section 4.03(d).

  • Target Shares means all of the issued and to be issued share capital of the Target.

  • Company Warrants means warrants to purchase shares of Company Common Stock.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Fully Diluted Shares means the sum, without duplication, of (a) the number of shares of Common Stock issued and outstanding immediately prior to the Effective Time, (b) the number of shares of Preferred Stock that are issued and outstanding immediately prior to the Effective Time and (c) the number of shares of Common Stock underlying the Restricted Stock Units or any other equity or other convertible securities that are issued and outstanding immediately prior to the Effective Time.

  • Company Shareholder Meeting has the meaning specified in Section 8.2(b).

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Common Shares means the common shares in the capital of the Corporation;

  • Parent Common Shares means the common shares of the Parent;

  • Company Options means options to purchase shares of Company Common Stock.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Existing Shares means shares of the Company Common Stock Beneficially Owned by Stockholder as of the date hereof.

  • Company Shareholders Meeting shall have the meaning set forth in Section 5.2(b).

  • Holdco Shares means the ordinary shares of HoldCo with a par value of US$0.0001 per share.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Per Share Merger Consideration has the meaning set forth in Section 3.1(a).
