Specified Debt Issuance definition

Specified Debt Issuance has the meaning specified in Section 2.05(b)(viii).
Specified Debt Issuance means the issuance by the Borrower of any Indebtedness permitted by Section 6.01(g).
Specified Debt Issuance means any incurrence or issuance of Indebtedness under Section 9.07 hereof other than under paragraph (g) thereof (except to the extent such Indebtedness constitutes Capital Lease Obligations and other Indebtedness secured by Liens permitted under Section 9.06(i) or 9.06(j) hereof). "SPECIFIED EVENT OF DEFAULT PERIOD" shall mean:

Examples of Specified Debt Issuance in a sentence

  • Such prepayment shall be made within five (5) Business Days after the date of receipt of the Net Cash Proceeds of any such Specified Debt Issuance.

  • The Company Notice shall be provided to each Holder at its address set forth in the register of Holders of Series A Preferred Stock maintained by the Company no less than five Business Days prior to any Specified Debt Issuance.

  • The Borrower shall make mandatory principal prepayments of the Loans in the manner set forth in clause (ii) below and Section 2.09(d) in an amount equal to one hundred percent (100%) of the aggregate Net Cash Proceeds from any Specified Debt Issuance.

More Definitions of Specified Debt Issuance

Specified Debt Issuance means any issuance or sale of any debt securities or issuance, sale or incurrence of any other Debt, whether in capital markets transactions, bank or other commercial lending transactions, or similar transactions with any banks or other financial institutions or institutional lenders, in each case issued, sold or incurred by any Loan Party, and the proceeds of which are to be used to finance any portion of the corporate separation of OPCo’s power generation assets; provided that, Specified Debt Issuances shall not include (i) refinancings of debt securities or other Debt issued, sold or incurred prior to the date of this Agreement, (ii) commercial paper issuances, (iii) issuances of pollution control revenue bonds, (v) capital leases and purchase money financing obligations, (vi) obligations arising under reimbursement agreements in respect of letters of credit, acceptances or similar extensions of credit or (vii) any phase-in-recovery bonds.
Specified Debt Issuance means any incurrence or issuance of Indebtedness under Section 9.07 hereof other than under paragraph (g) thereof (except to the extent such Indebtedness constitutes Capital Lease Obligations and other Indebtedness secured by Xxxxx permitted under Section 9.06(i) or 9.06(j) hereof).
Specified Debt Issuance means the issuance or incurrence of any debt securities (whether in a public offering or private placement) or any Indebtedness for the borrowing of term loans or other Indebtedness for borrowed money by the Borrower or any of its Subsidiaries; provided, however, that the term “Specified Debt Issuance” shall not include (a) any refinancing of (1) the Existing Revolving Credit Agreement with another revolving credit facility and the revolving loans and letters of credit (if any) incurred or issued thereunder, (2) the 6.800% Senior Secured Notes, due 2018, in an aggregate principal amount of $550,000,000 and (3) the 5.000% Senior Secured Notes, due 2017, in an aggregate principal amount of $324,405,000, (b) Indebtedness between or among the Borrower and/or any of its Subsidiaries, (c) commercial paper financings, (d) any trade, seller or customer finance-related financing incurred in the ordinary course of business, (e) Indebtedness incurred by the Borrower or any of its Subsidiaries assumed and/or acquired in an acquisition under financings existing at the time of such acquisition (up to the maximum amount of the committed amounts thereof in effect at such time, and provided that such financings were not established in contemplation of such acquisition) and (f) any Permitted Receivables Financing, including the sale of receivables in connection therewith.
Specified Debt Issuance means any issuance or incurrence (or series of related issuances or incurrences) of Debt under clause (a) of the definition thereof by Parent, the Borrower or any Restricted Subsidiary on or after the Effective Date (other than (i) Debt incurred pursuant to (A) this Agreement or (B) the Revolving Credit Agreement (so long as and only to the extent that, in the case of this clause (B), such Debt does not result in the aggregate outstanding principal balance of loans under the Revolving Credit Agreement exceeding $300,000,000; it being understood that each borrowing of loans under the Revolving Credit Agreement over an aggregate outstanding principal balance of $300,000,000 shall constitute a Specified Debt Issuance in an amount equal to such excess over $300,000,000 (or, if less, the amount of such borrowing)) and (ii) Debt incurred by the Borrower or any Restricted Subsidiary and owing to the Borrower or any Restricted Subsidiary), including, without limitation, any Permitted Additional Debt.
Specified Debt Issuance means the issuance by the Borrower or any Subsidiary of any Indebtedness after the Closing Date other than any issuance:
Specified Debt Issuance means any issuance or incurrence (or series of related issuances or incurrences) of Indebtedness for Borrowed Money by the Borrower or any Restricted Subsidiary on or after the Effective Date (other than (i) Indebtedness incurred pursuant to this Agreement and the Revolving Credit Agreement and (ii) Indebtedness incurred by the Borrower or any Restricted Subsidiary and owing to the Borrower or any Restricted Subsidiary) having an aggregate principal amount (individually or in the aggregate) in excess of $50,000,000.
Specified Debt Issuance shall have the meaning given to it in Section 2.13.
