Specified Laws. (i) Trading with the Enemy Act, and each of the foreign assets control regulations of the United States Treasury Department (31 C.F.R., Subtitle B, Chapter V) and any other enabling legislation or executive order relating thereto, and (ii) the USA PATRIOT Act.
Specified Laws means all Applicable Law relating to the operation of private label and other medical device product distributions, and the possession, control, warehousing, marketing, sale, lease, rental, and distribution of medical devices, including without limitation, the FDCA, Current Good Manufacturing Practices (CGMP) requirements of the Quality System regulation for medical devices, as specified in Title 21, Code of Federal Regulations, Part 820 (21 C.F.R. 820), the Occupational Health and Safety Act (29 U.S.C. § 651 et seq.), any laws pertaining to the storage and disposal of biomedical and other hazardous waste, and any implementing regulations to any of the foregoing or other applicable state or federal laws. This shall include all guidelines and standards established by state government agencies for the manufacture or repair of respiratory therapy healthcare products and related Products.
Specified Laws means (a) the UKBA or FCPA; (b) applicable trade, economic or financial sanctions Laws, embargoes or other restrictive measures, including (i) Local ABAC Laws, (ii) Applicable Money Laundering Laws, (iii) Sanctions and (iv) applicable Laws prohibiting fraud, tax evasion, insider dealing and market manipulation; (c) applicable Health-Related Requirements; (d) applicable securities Laws, including the Exchange Act, the Xxxxxxxx-Xxxxx Act and the Securities Act; and (e) applicable Data Privacy and Cybersecurity Rules and Regulations (f) all other Laws of any jurisdiction that are similar to the Laws described in the foregoing clauses (a) – (e).

Specified Laws means the Securities Act, the Exchange Act, any applicable foreign securities laws, any state securities or "blue sky laws," the merger control laws of any foreign jurisdiction in which the Company is then doing business, the Hart-Xxxxx-Xxxxxx Xxxitrust Improvements Act of 1976, as amended, and ERISA.

This shall include all guidelines and standards established by applicable Governmental Authorities for the manufacture or repair of the Inventory.
Specified Laws means the Cyber Security and Data Protection Related Laws, Drug Administration Laws, E-commerce Laws, Food Safety Laws, Intellectual Property Laws, PRC Anti-Unfair Competition Law, Telecommunication Regulation of the PRC (中华人民共和国电信条例), Content of Categories of Telecommunication Business (2015) (电信业务分类目录(2015年版)), Notice of Ministry of Industry and Information Technology on Removing the Restrictions on Foreign Equity Ratios in Online Data Processing (Operating E-commerce) Business (工业和信息化部关于放开在线数据处理与交易业务(经营类电子商务)外资股比限制的通告) and the International Tax Co-operation (Economic Substance) Law (2018) of the Cayman Islands.
Specified Laws means the laws, rules and regulations of the State of New York, the Delaware General Corporate Law and the federal laws of the United States of America, and we express no opinion with respect to the laws of any other state, jurisdiction or political subdivision. We express no opinion as to, and the term Specified Law does not include: (i) federal securities or antifraud law, rules or regulations; (ii) state securities, or “blue sky,” or antifraud laws, rules or regulations; or (iii) the statutes, administrative decisions, rules, regulations or requirements of any county, municipality, subdivision or local authority of any jurisdiction.
Specified Laws means, collectively, the Foreign Corrupt Practices Act of 1977, the U.K. Bribery Act of 2010, the Sanctions Regulations or any other applicable anti-bribery, anti-corruption, anti-money laundering or sanctions Laws.
