Specified Marks definition

Specified Marks has the meaning set forth in Section 1.2(a)(vii).
Specified Marks has the meaning given to it in Section 6.4(e).
Specified Marks means all the Vendor’s rights under the license to use, publish, display and sell the said titles and any derivatives or parts thereof or any words, logos or devices resembling the same;

  • Following the Separation, ESAB shall not use the Enovis Specified Marks for any purpose; provided that, ESAB may continue to use the Colfax-Formative Marks in connection with the operation of the ESAB Business to the extent consistent with past practice so long as ESAB uses commercially reasonable efforts to phase out its use of the “Colfax” name as soon as reasonably practicable following the Separation.

  • Searches with respect to the search criteria indicated below in the records of the Office of the Registrar General of Canada regarding documents deposited pursuant to section 104 or 105 of the Canada Transportation Act disclosed, as of the currency date(s) and time(s) indicated below, no such deposited documents other than the following: Search Criteria: the Specified Name(s) and the Specified Marks.

  • Subject to the provisions of this Section, the parties hereby acknowledge and agree that as a result of the transactions contemplated by this Agreement and certain transfers contemplated to occur thereafter, the Specified Marks may be transferred and owned after the Closing by Buckeye or an affiliate of Buckeye and Buckeye or such affiliate shall have all rights of ownership with respect thereto, including the right to use, license and sublicense the use of the Specified Marks throughout the United States.

  • The Vendor is in the business of publishing magazines and other publications and is the sole and unencumbered legal and beneficial proprietor of the Specified Marks and the Materials (defined below), which are used by the Vendor and its subsidiar(ies) to conduct the Target Businesses.

  • EdiZONE shall not be required to initiate or take any legal action to protect or enforce the Specified Marks and any Incremental IP.

  • For the avoidance of doubt, any claim for indemnity prior to Completion Date under this Clause 6.11 is limited exclusively to all claims, damages, costs (including reasonable legal fees), liabilities and losses of any kind arising out of or relating to the publication, reproduction or distribution by the Purchaser of the Materials and the Specified Marks insofar as it relates to the online publishing operations of the Target Businesses.

  • The Vendor is in the business of publishing magazines and other publications and is the sole and unencumbered legal and beneficial proprietor of the Specified Marks and the Materials (as defined below), which are used by the Vendor and its subsidiar(ies) to conduct the Target Businesses.

  • A.1 Subject to the terms and conditions of this Agreement, the Vendor shall on Completion grant to the Purchaser, and the Purchaser shall on Completion obtain from the Vendor and its relevant subsidiar(ies), a licence providing the exclusive right to use the Specified Marks and the Materials of the Target Businesses for the purposes of online distribution, publication, reproduction and/or sale of Materials relating to the Target Businesses (the “Licence”).

  • Such remittance is to be made by wire transfer, using the bank information provided by EdiZONE to Purple for that purpose, and is made against release of signatures to this Agreement and the recordable assignment for the Specified Marks in the form of Exhibit B.

  • Except for the release of the Specified Marks specifically identified on Schedule A attached hereto and the other Released Collateral, all terms and provisions of the Agreements shall remain in full force and effect.


More Definitions of Specified Marks

Specified Marks means the following trademarks used in the Business: “[Mark 1],” “[Mark 2],” “[Mark 3]” and “[Mark 4]” and all rights and registrations held by Seller and its Affiliates with respect thereto. Date.
Specified Marks has the meaning set forth in Attachment 1 to Exhibit G of this Agreement.
Specified Marks has the meaning set forth in Section 3.13(c).
Specified Marks mean all the magazine titles, trade marks, copyrights and names relating to the titles set out in Part A of Schedule 1 or any derivatives or parts thereof or any words, logos or devices resembling the same including without limitation the specific rights and publications relating thereto; save that in relation to the titles named "China Business Post (Print Edition)" and "China Business Post (Online Edition)", "Specified Marks" shall mean all the Vendor's rights under the license to use, publish, display and sell the said titles and any derivatives or parts thereof or any words, logos or devices resembling the same;
Specified Marks means the trademarks, trade names, logos and other proprietary rights set forth on Schedule 1.1.
Specified Marks means all the magazine titles, trade marks, copyrights and names relating to the titles set out in Part A of Schedule 1 or any derivatives or parts thereof or any words, logos or devices resembling the same including without limitation the specific rights and publications relating thereto; save that in relation to the title named “CHINA BUSINESS POST (ONLINE EDITION)”, “Specified Marks” shall mean all the Vendor’s rights under the license to use, publish, display and sell the said titles and any derivatives or parts thereof or any words, logos or devices resembling the same;

Related to Specified Marks

  • Specified Materials means the basic materials required on the Site for the execution and completion of Works, which shall include fuel and lubricants; cement; aggregates; steel reinforcement; timber and gravel.

  • Licensed Marks means those MLS GRID and MLS trademarks, service marks, word marks, logos and distinctive marks of all other kinds, if any, set out in Exhibit A as Licensed Marks.

  • Product Trademarks means the Trademark(s) to be used by Adapt or its Affiliates or its or their respective Sublicensees for the Commercialization of Products and any registrations thereof or any pending applications relating thereto (excluding, in any event, any trademarks, service marks, names or logos that include any corporate name or logo of the Parties or their Affiliates).

  • specified works means any of the authorised works or activities undertaken in association with the authorised works which:

  • Licensed Trademarks means the trademarks, service marks, trade dress, logos and other icons or indicia designated by SCEA in the SourceBook 2 or other Guidelines for use on or in connection with Licensed Products. Nothing contained in this Agreement shall in any way grant Publisher the right to use the trademark "Sony" in any manner. SCEA may amend such Licensed Trademarks from time to time in the SourceBook 2 or other Guidelines or upon written notice to Publisher.

  • Specified Matter means any Amendment of a Portfolio Investment that (a) reduces the principal amount of such Portfolio Investment, (b) reduces the rate of interest payable on such Portfolio Investment, (c) postpones the due date of any scheduled payment or distribution in respect of such Portfolio Investment, (d) alters the pro rata allocation or sharing of payments or distributions required by any related underlying instrument in a manner adverse to the Company, (e) releases any material guarantor of such Portfolio Investment from its obligations, (f) terminates or releases any lien on a material portion on the collateral securing such Portfolio Investment, (g) changes any of the provisions of any such underlying instrument specifying the number or percentage of lenders required to effect any of the foregoing or (h) materially changes any financial maintenance covenant.

  • Transferred Trademarks means the Trademarks, and applications for Trademarks, included in the Transferred Registered Intellectual Property.

  • Product Marks has the meaning set forth in Section 9.5.

  • Proprietary Marks shall have the meaning as set forth in Section 24.01.

  • Product Trademark means one or more trademarks or logos that are used for the Commercialization of a Product in the Field in the Territory.

  • Company Marks means the trademarks, trade names, service marks, logos, and/or service names of the Company.

  • Licensed Trademark means those Trademarks set forth on Exhibit A attached hereto and such other Trademarks as may be designated by NovaDel in writing from time to time, and any registrations of the foregoing and pending applications relating thereto.

  • Specified Equipment means the railway vehicles which the Train Operator is entitled to use in the provision of Services on the Network, as specified in paragraph 4 of Schedule 5;

  • Excluded Technology means the Technology listed on Exhibit C.

  • Domain Names means all Internet domain names and associated URL addresses in or to which any Grantor now or hereafter has any right, title or interest.

  • Competitive Infringement has the meaning set forth in Section 7.5.1.

  • Proprietary mark or “brand” means the mark or brand of a product which is owned by an industrial firm;

  • Business IP means Intellectual Property Rights that are used in and material to the Acquired Business as currently conducted and as currently proposed to be conducted.

  • Trademarks means any trademarks, service marks, trade dress, trade names, brand names, internet domain names, designs, logos, or corporate names (including, in each case, the goodwill associated therewith), whether registered or unregistered, and all registrations and applications for registration and renewal thereof.

  • Seller Marks has the meaning set forth in Section 6.4.

  • Licensed Field of Use means all fields.

  • Internet Domain Names means all rights, title and interests (and all related IP Ancillary Rights) arising under any Requirement of Law in or relating to Internet domain names.

  • counterfeit trademark goods means any goods, including packaging, bearing without authorization a trademark which is identical to the trademark validly registered in respect of such goods, or which cannot be distinguished in its essential aspects from such a trademark, and which thereby infringes the rights of the owner of the trademark in question under the law of the country of importation;

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Excluded Products means the items described on the applicable restricted products per country, any other applicable Program Policy, or any other information made available to you by LINIO.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.
