Specified Termination Event definition

Specified Termination Event means the occurrence of all of the following events: (i) all conditions to Buyer’s obligations under this Agreement have been satisfied in full or waived in writing by Buyer and (ii) the Marketing Period Expiration Date has occurred.
Specified Termination Event means a Termination Event of the type described in clauses (iv), (v) or (vi) of Section 6.3(c) of the Stockholders Agreement. The Corporation shall make a public announcement promptly following the occurrence of a Specified Termination Event.
Specified Termination Event has the meaning set forth in ‎Section 12.02(b).

  • Article 6.g.(i) of the Post-Transaction Certificate of Incorporation requires the TD Ameritrade board of directors to maintain such a committee prior to the occurrence of a Termination Event (and, following a Specified Termination Event, during any Post-Termination Period).

More Definitions of Specified Termination Event

Specified Termination Event means the valid termination of this Agreement (i) by Southcross pursuant to ‎Section 12.01(d) or (ii) by either Buyer or Southcross pursuant to (A) ‎Section 12.01(b)(ii) under circumstances where, as of the Outside Date, all of the conditions set forth in ‎Article 9, ‎Article 10 and ‎Article 11 have been satisfied (other than those conditions that by their terms are to be satisfied 57 by actions taken at the Closing, provided that such conditions would be satisfied on such date) other than the conditions set forth in ‎Section 10.03 or (B) ‎Section 12.01(b)(iii) under circumstances where the applicable Order relates to the failure to obtain MPSC Approval or the APSC Approval.
Specified Termination Event has the meaning set forth in Section 9.4.
