Specified Termination Event definition

Specified Termination Event has the meaning set forth in Section 9.4.
Specified Termination Event means a Termination Event of the type described in clauses (iv), (v) or (vi) of Section 6.3(c) of the Stockholders Agreement. The Corporation shall make a public announcement promptly following the occurrence of a Specified Termination Event.
Specified Termination Event means the occurrence of all of the following events: (i) all conditions to Buyer’s obligations under this Agreement have been satisfied in full or waived in writing by Buyer and (ii) the Marketing Period Expiration Date has occurred.

Specified Termination Event means the termination of the Key Employee's employment (i) by the Company other than by reason of the Key Employee's death or Disability or for Cause, or (ii) by the Key Employee for Good Reason.
Specified Termination Event has the meaning specified for that term in Section 3.1(a) of this Agreement.

  • Potential Termination Event means an event which, with the passage of time or the giving of notice, or both, would constitute a Termination Event.
