Employee for Good Reason. Company shall pay Employee the following (collectively, the “Accrued Obligations”): (A) within five (5) business days after the Date of Termination, any earned but unpaid Annual Base Salary; (B) within a reasonable time following submission of all applicable documentation, any expense reimbursement payments owed to Employee for expenses incurred prior to the Date of Termination; and (C) no later than March 15th of the year in which the Date of Termination occurs, any earned but unpaid Annual Bonus payments relating to the prior calendar year;

Employee for Good Reason. If the EMPLOYEE’S employment shall be terminated after a Change in Control as defined by Section 10, (a) by the Company other than for Cause, or (b) by the EMPLOYEE for Good Reason, the EMPLOYEE shall be entitled to the following benefits: Severance Payment. EMPLOYEE shall be paid an amount equal to two times the Executive’s combined current year Base Salary and actual Bonus compensation for the preceding fiscal year; provided, however, the severance amount shall not be less than Five Hundred Thousand Dollars ($500,000.00) nor more (once the minimum is reached, than one percent (1.0%) of the book value of the Company (i.e., the amount reported on the Company’s balance sheet prepared in accordance with generally accepted accounting principles as stockholder’s equity). The Severance Payment shall be payable fifty percent (50%) within five (5) days after the termination date and the remaining fifty percent (50%) shall be payable in twelve (12) equal consecutive monthly installments beginning on the first day of the month following the termination date.
