SPF Manager definition

SPF Manager means any person (including any body corporate, partnership or unincorporated body) from time to time appointed by the PII committee to manage the special purpose fund, and includes any replacement to such a person appointed from time to time;
SPF Manager has the meaning ascribed to such term in the Regulations;

  • The SPF Manager shall be entitled to seek reimbursement of any such costs and expenses from the relevant Firm.

  • The Insurer also agrees that a Defaulting Run-off Firm shall not be entitled to obtain Run-off Cover from the ROF but shall be entitled to cover arranged by the SPF Manager through the ROF under Regulation 6(a) of the Regulations.

  • The SPF, the ARP and the ROF shall be managed and administered by the SPF Manager.

  • The Insured shall report or notify any Claim or Circumstance required to be reported or notified pursuant to this contract to the SPF Manager (acting on behalf of the Insurer) as soon as is reasonably practicable after becoming aware of such a Claim or Circumstance.

  • The Firm shall provide to the SPF Manager such information as the SPF Manager may from time to time in its discretion reasonably require to deal efficiently and effectively with the Firm’s membership of the Run-Off Fund.

  • The Insured shall not be required against its wish to contest the issue of liability in any legal or arbitration proceedings arising from any Claim unless a solicitor or a member of the Irish Bar (as mutually agreed upon between the Insured and the SPF Manager (acting on behalf of the Insurer), or failing agreement, to be appointed by the Chairman of the Bar Council of Ireland) shall advise that such proceedings or arbitration should be contested.

  • In the event of such cancellation, the SPF manager shall honour and discharge any amount due and owing in respect of any claim or circumstance notified to the SPF Manager within the period from the commencement of the run-off cover until its cancellation by the SPF Manager pursuant but the SPF Manager shall be entitled to recover any amount so paid from the run-off firm or from those persons who were principals of the run-off firm immediately prior to the date it ceased practice.

  • Sub-Manager Any Person with which the Property Manager or the Special Servicer has entered into a Sub-Management Agreement.

  • Managing Partner means Geodyne Production Company, a Delaware corporation, and any other Person admitted as additional or Substituted Managing Partner pursuant to Article Six of this Agreement.

  • Managing General Partner means the managing general partner of the Merging Entity where such Merging Entity is a limited partnership.

  • Managing entity means the managing agent or, if there is no managing agent, the time-share

  • Fund Manager means the manager appointed for the day-to-day management and administration of the scheme.

  • Board of Managers means the Board of Managers of the Company.

  • Asset Manager means the manager of each of the Series Assets as specified in each Series Designation or, its permitted successors or assigns, appointed in accordance with Section 5.10.

  • Independent Manager shall refer to a member of the Board that meets the standards of an “independent director” set forth in NASDAQ Marketplace Rule 4200(a)(15) (on any successor rule) with respect the Company, the Administrator and their respective affiliates.   • Investment Manager or “Manager” shall mean a party furnishing services to the Trust pursuant to any contract described in Section 4.8 hereof;

  • Procurement Manager means any person or designee authorized by a state agency or local public body to enter into or administer contracts and make written determinations with respect thereto.

  • Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

  • Board of Management means the Board of Management of the University;

  • Advisory Representative means any Supervised Person, who in connection with his or her regular functions or duties, normally makes, participates in, or otherwise obtains current information regarding the Purchase or Sale of a Security by the Firm, or whose functions relate to the making of any recommendations with respect to such purchases or sales, and any natural Person in a Control relationship to the Firm who obtains information concerning recommendations made concerning a Purchase or Sale of a Security. This definition includes but is not limited to the following: partner, officer, Manager, investment person, Portfolio Manager and any other Supervised Person of the Firm designated as an “Advisory Representative” from time to time by the Review Officer.
