SPLC Material Adverse Effect definition

SPLC Material Adverse Effect means a material adverse effect on or a material adverse change in (a) the value of the Assets, or the business, operations or financial condition of Pecten, taken as a whole, other than any effect or change (i) that impacts the offshore crude oil transportation or onshore crude storage industry generally (including any change in the prices of crude oil or other hydrocarbon products, industry margins or any regulatory changes or changes in Applicable Law or GAAP), (ii) in United States or global political or economic conditions or financial markets in general, or (iii) resulting from the announcement of the transactions contemplated by this Agreement and the taking of any actions contemplated by this Agreement, provided, that in the case of clauses (i) and (ii), the impact on the Assets or the business, operations or financial condition of Pecten is not materially disproportionate to the impact on similarly situated assets or businesses in the offshore crude oil transportation or onshore crude storage industry, or (b) the ability of SPLC to perform its obligations under this Agreement and the other Transaction Documents to which SPLC is a party or to consummate the transactions contemplated hereby or thereby.
SPLC Material Adverse Effect means a material adverse effect on or a material adverse change in (a) the value of the Assets, or the business, operations or financial condition of Zydeco and Colonial, in each case taken as a whole, other than any effect or change (i) that impacts the crude oil or products transportation industry generally (including any change in the prices of crude oil or other hydrocarbon products, industry margins or any regulatory changes or changes in Applicable Law or GAAP), (ii) in United States or global political or economic conditions or financial markets in general, or (iii) resulting from the announcement of the transactions contemplated by this Agreement and the taking of any actions contemplated by this Agreement, provided, that in the case of clauses (i) and (ii), the impact on the Assets or the business, operations or financial condition of Zydeco and Colonial is not materially disproportionate to the impact on similarly situated Assets or businesses in the crude oil or refined products transportation industry, as applicable, or (b) the ability of SPLC to perform its obligations under this Agreement and the Assignment Agreement or to consummate the transactions contemplated hereby or thereby.
SPLC Material Adverse Effect means a material adverse effect on or a material adverse change in the ability of SPLC to perform its obligations under this Agreement and the other Transaction Documents or to consummate the transactions contemplated hereby or thereby.

Examples of SPLC Material Adverse Effect in a sentence

  • No approval or consent by any federal or state regulatory authority is required in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby, except to the extent that any failure to obtain such approval, either individually or in the aggregate, would not reasonably be expected to have a SPLC Material Adverse Effect.

  • Except as would not result in a SPLC Material Adverse Effect, Pecten has taken reasonable measures to protect the confidentiality of all material trade secrets.
