Sponsored REIT definition

Sponsored REIT shall have the same meaning as such term is used in Borrower’s filings with the SEC. For the avoidance of doubt, a “Sponsored REIT” shall include a Wholly-Owned Subsidiary of Borrower during the period prior to its syndication.
Sponsored REIT means any single-asset real estate investment trust managed and controlled by the Company (or any wholly-owned subsidiary thereof) but not wholly-owned by the Company.
Sponsored REIT shall have the same meaning as such term is used in FSP’s filings with the SEC. For the avoidance of doubt, a “Sponsored REIT” shall include a Subsidiary of FSP during the period prior to its syndication.

Examples of Sponsored REIT in a sentence

  • In no event shall a Sponsored REIT or an Excluded Subsidiary be required to become a Subsidiary Guarantor.

Sponsored REIT in respect of any given Project, has the meaning ascribed thereto in the Limited Partnership Agreement of the JV Limited Partnership in respect of such Project;

  • REIT means a real estate investment trust under Sections 856 through 860 of the Code.

  • Sponsors means (1) one or more investment funds controlled by Apollo Management, L.P. and its Affiliates (collectively, the “Apollo Sponsors”) and (2) any Person that forms a group (within the meaning of Section 13(d)(3) or Section 14(d)(2) of the Exchange Act, or any successor provision) with any Apollo Sponsors, provided that any Apollo Sponsor (x) owns a majority of the voting power and (y) controls a majority of the Board of Directors of the Company.

  • Sponsor shall have the meaning given in the Recitals hereto.

  • Controlled Group means all members of a controlled group of corporations and all trades or businesses (whether or not incorporated) under common control which, together with the Borrower, are treated as a single employer under Section 414 of the Code.

  • Benefit Plan Investor means an “employee benefit plan” as defined in Section 3(3) of ERISA that is subject to Title I of ERISA, a “plan” as defined in and subject to Section 4975 of the Code or an entity whose underlying assets include plan assets of any of the foregoing.

  • Independent educational evaluation means an evaluation conducted by a qualified examiner who is not employed by the public agency responsible for the education of the child in question.

  • Qualified REIT Subsidiary means any Subsidiary of the General Partner that is a “qualified REIT subsidiary” within the meaning of Section 856(i) of the Code.

  • Financial Sponsor means any Person, including any Subsidiary of such Person, whose principal business activity is acquiring, holding, and selling investments (including controlling interests) in otherwise unrelated companies that each are distinct legal entities with separate management, books and records and bank accounts, whose operations are not integrated with one another and whose financial condition and creditworthiness are independent of the other companies so owned by such Person.

  • Sponsored captive insurance company means a captive insurance company:

  • Venture means any group of two or more persons associated in fact, whether or not a legal entity.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.
