Spread Maintenance Amount definition

Spread Maintenance Amount means the amount equal to the product obtained by multiplying (a) the principal amount of the Loan being prepaid by (b) the sum of 4.3% plus the positive difference (if any) between the Libor Floor Rate and the Libor Base Rate by (c) the quotient obtained by dividing (i) the number of days from the date of such prepayment to (and including) September 30, 2013, by (ii) 360.
Spread Maintenance Amount means, with respect to each prepayment of the Loan during the Spread Maintenance Period, the product of (1) 1/360, times (2) the Spread, times (3) the number of days from and including the date of prepayment through and including the last day of the Spread Maintenance Period, times (4) the amount of such prepayment.
Spread Maintenance Amount means, upon a prepayment of the Loans, the amount of interest that would be earned on the principal amount of the Loans prepaid, from the date of prepayment through September 30, 2010, at a rate equal to four and sixty-two hundredths percent (4.62%) per annum (computed on a 360-day year basis). For purposes of Section 2.3(4), the Spread Maintenance Amount shall be separately calculated for (a) the portion of the prepaid principal bearing interest either at the Initial Advance Contract Rate or at a Fixed Rate, and (b) the portion of the prepaid principal bearing interest at the Libor-based Rate (or the Alternate Base Rate, if applicable).

Spread Maintenance Amount means, with respect to any prepayment of the Loan prior to and including August 22, 2013, the greater of (a) 1.0% of the amount of the Principal Indebtedness prepaid and (b) an amount equal to the product of (i) the amount of the Principal Indebtedness prepaid, times (ii) the Spread, times (iii) 1/360, times (iv) the number of days from (but excluding) the conclusion of the Interest Accrual Period in which such prepayment is made to and including August 22, 2013.

Related to Spread Maintenance Amount

  • Yield Maintenance Amount means, with respect to any Note, an amount equal to the excess, if any, of the Discounted Value of the Called Principal of such Note over the sum of (i) such Called Principal plus (ii) interest accrued thereon as of (including interest due on) the Settlement Date with respect to such Called Principal. The Yield-Maintenance Amount shall in no event be less than zero.

  • Spread Maintenance Premium means, with respect to any payment or prepayment, an amount equal to the product of the following: (i) the LIBOR Margin, the Alternate Rate Spread or the Base Rate Spread then applicable to each such future installment of interest, multiplied by (ii) the principal amount of the Loan so prepaid, and multiplied by (iii) a fraction, the numerator of which is the number of days following the date through which interest on the prepaid amount has been paid through and including December 14, 2019, and the denominator of which is 360.

  • Yield Maintenance Agreement The yield maintenance agreement between the Trustee, on behalf of the Trust, and the Counterparty, which will be primarily for the benefit of the Class 1-A-2 Certificates, substantially in the form attached hereto as Exhibit Q.
