STARZ Business definition

STARZ Business means substantially all of the assets and liabilities constituting LGEC’s “Media Networks” segment.
STARZ Business means the Media Networks business and operations of Parent and its relevant Subsidiaries, as such business and operations are described under the caption of the “Media Networks” segment of Parent in its Annual Report on Form 10-K for the fiscal year ended March 31, 2023 and conducted at any time prior to the Effective Time by either Party or any of their current or former member of its Group, together with the exploitation of the rights granted or assigned to Parent and the applicable members of the Parent Group under the Starz Series Contracts, as permitted under such Starz Series Contracts and subject to the terms thereof. For the avoidance of doubt, the Starz Business shall include only the business and operations described in the immediately prior sentence, and shall not include any other businesses or operations of Parent or any of its Subsidiaries.
STARZ Business has the meaning set forth in the Separation Agreement.

  • For the avoidance of doubt, guarantees of the New Notes by entities which are related to the STARZ Business shall (except as otherwise released in accordance with the guarantee provisions of the New Indenture unrelated to the Separation Transaction) remain in place until the consummation of the Separation Transaction.
