Stockholder Equity definition

Stockholder Equity means, as of any date of determination, Borrower's total stockholder's equity.
Stockholder Equity means the total stockholder equity of the Company, determined as of the Measurement Time in accordance with GAAP using the same accounting methods, practices, principles, policies and procedures, with consistent classifications, judgments and valuation and estimation methodologies that were used by the Company in preparation of its Audited Financial Statements. For illustration and the avoidance of doubt, Stockholder Equity is to be calculated pursuant to the methodology set forth on the Sample Stockholder Equity Calculation.
Stockholder Equity means Company's stockholder equity as determined in accordance with GAAP; provided, however, notwithstanding anything to the contrary herein or under GAAP, (i) Transaction Expenses, (ii) conforming entries made by Company or any Company Subsidiary pursuant to 6.10 hereof, (iii) stock repurchases of Company Common Stock made with the permission or at the request of Buyer and (iv) FASB 115 shall not be considered for purposes of such determination.

Stockholder Equity means total stockholder equity determined in accordance with GAAP.

In furtherance of the foregoing financial covenant, the Company shall, on or prior to the 30th day following each fiscal quarter following the Closing Date (or, if such fiscal quarter is the Company’s fourth fiscal quarter, then on or prior to the 60th day following such fiscal quarter), deliver to each Holder a certificate certified by the Chief Financial Officer of the Company certifying (i) that at all times during such fiscal quarter, the Company was, to such officer’s knowledge, in compliance with the foregoing financial covenant and (ii) the actual Stockholder Equity as of the last day of such fiscal quarter.
Stockholder Equity means the Company’s Total Stockholders’ Equity as reported in its annual report to stockholders, as adjusted by the Committee in its reasonable discretion to take into account events and circumstances not contemplated at the time of this award.
Stockholder Equity means the capital stock, capital surplus and retained earnings (excluding any FASB 115 adjustments to stockholder equity) as determined under generally acceptable accounting principles, but shall under no circumstances include any loan loss reserves.
