Stockholder Parties definition

Stockholder Parties has the meaning set forth in the Preamble.

Stockholder Parties means the Stockholders (as defined in the Stockholders Agreement). The term “Stockholder Party” shall have a correlative meaning to “Stockholder Parties.”

• For the avoidance of doubt, in no event may the Company and/or the Representative, on its own behalf or on behalf of the Stockholder Parties, obtain both specific performance and such monetary damages.

• The Company and the Stockholder Parties will use commercially reasonable efforts to avoid taking any action intended to increase the amount of any Losses arising in connection with an Impermissible Failure to Close for which the Company (on behalf of the Stockholders and/or Optionholders) may wish to seek damages; provided that, for the avoidance of doubt, the Stockholder Parties shall have no obligation to (but may in their sole discretion) sell the Company to mitigate or establish such Losses.

• Parent and the Stockholder Parties acknowledge that each party to this Agreement has been represented by counsel in connection with this Agreement and the transactions contemplated by this Agreement.

Stockholder Parties has the meaning set forth in Section 3.5(a).

Stockholder Parties means BPPR, PIBI and any other Affiliate of Stockholder (other than the Companies (other than EV)) that is a party to any Ancillary Agreement, Closing Document or Internal Reorganization Document.
