Subject Payments definition

Subject Payments shall have the meaning provided in the definition ofRemaining Dividends Amount”.
Subject Payments means, for any period, the aggregate amount of any (a) Restricted Payment made pursuant to Section 6.07(iii), (b) redemptions or repurchases of Indebtedness pursuant to Section 6.10(b)(iii) or (c) Investments pursuant to Section 6.04(xiv) during such period.

  • Notwithstanding anything in this Agreement to the contrary, the Corporation shall be entitled to an offset in the calculation of the Gross-Up Payment in the event the Executive is entitled to a Gross-Up Payment under any other arrangement with respect to all or any part of the Subject Payments.

  • Genentech shall make the Subject Payments in accordance with the foregoing unless and until otherwise directed by a written notice from the Escrow Agent or by a joint written notice from the Borrower and the Investor.

Related to Subject Payments

  • Direct Payment means a payment granted directly to farmers under a support scheme listed in Annex I;

  • Scheduled Funded Debt Payments means, as of any date of determination for the Borrower and its Subsidiaries, the sum of all scheduled payments of principal on Funded Debt for the applicable period ending on the date of determination (including the principal component of payments due on Capital Leases during the applicable period ending on the date of determination).

  • Reimbursement Payment shall have the meaning given to that term in Subparagraph 2.02(c).
