Subordinated Facility definition

Subordinated Facility means the Subordinated Indenture, the other Note Documents (as defined therein) and the transactions contemplated thereunder.

• Any Administrative Receiver appointed pursuant to this Agreement, in respect of any assets over which it is so appointed, shall consult with the Borrower Security Trustee and (for as long as any amounts are outstanding under the Subordinated Facility Agreement) the Subordinated Security Trustee as holder of the Security Agreement Floating Security (being equal ranking floating charges over the same assets) and, if necessary, request the release of such assets from the Security Agreement Floating Security.

More Definitions of Subordinated Facility

Subordinated Facility means either of (i) senior subordinated unsecured notes of the Company issued in a public offering or Rule 144A private placement in the amount of One Hundred Seventy-Five Million Dollars ($175,000,000) or (ii) a subordinated credit facility in the amount of One Hundred Seventy-Five Million Dollars ($175,000,000).

Subordinated Facility means that certain Subordinated Credit Agreement dated as of the date hereof by and between the Borrower and Trilon (Luxembourg) S.A.R.L., an Affiliate of Brookfield Asset Management, Inc., as the same may be amended, restated, modified, supplemented, extended, renewed, refunded, replaced or refinanced from time to time pursuant to one or more agreements under which Brookfield Asset Management, Inc. and/or any of its Affiliates are the only lenders, in each case as and to the extent permitted by the Loan Documents.
