Subordinated Guarantor definition

Subordinated Guarantor means, as of and after the Issue Date, each of Kosmos Energy Operating, Kosmos Energy International, Kosmos Energy Development, Kosmos Energy Ghana HC, Kosmos Energy Equatorial Guinea and Kosmos Energy Finance International.

Subordinated Guarantor means each Subsidiary of the Borrower that guarantees any Indebtedness or other obligations of the Borrower or any Subsidiary of the Borrower under or with respect to any of the New Subordinated Notes.

Subordinated Guarantor means each Domestic Subsidiary and each other Subsidiary which has entered into the Subordinated Guaranty in accordance with this Agreement.

Examples of Subordinated Guarantor in a sentence

• All notices or other communications to the New Subordinated Guarantor shall be given as provided in Section 13.02 of the Indenture.

• The Trustee shall not be responsible in any manner whatsoever for or in respect of the recitals contained herein, all of which recitals are made solely by the Issuer and the New Subordinated Guarantor.

• The New Subordinated Guarantor hereby agrees, jointly and severally with all existing Subordinated Guarantors (if any), to unconditionally guarantee the Issuer’s Obligations under the Securities and the Indenture on the terms and subject to the conditions set forth in Article X and Article XI of the Indenture and to be bound by all other applicable provisions of the Indenture and the Securities and to perform all of the obligations and agreements of a Subordinated Guarantor under the Indenture.

• Subject to the provisions of the Subordinated Guarantee Intercreditor Agreement, each Newco Subordinated Guarantor agrees to cause such Issuer to comply with the provisions of the securities or “Blue Sky” laws of any and all jurisdictions which the Shared Collateral Agent shall designate and to make available to its security holders, as soon as practicable, an earnings statement (which need not be audited) which will satisfy the provisions of Section 11(a) of the Securities Act.

• To the extent permitted by applicable law, each Newco Subordinated Guarantor waives all claims, damages and demands it may acquire against the Shared Collateral Secured Parties arising out of the exercise by them of any rights hereunder.

More Definitions of Subordinated Guarantor

Subordinated Guarantor and “Subordinated Guarantors” each have the meaning set forth in the preamble to this Guaranty.

Subordinated Guarantor means Willscot Equipment, LLC or any successor thereto.

Subordinated Guarantor means each Subsidiary of Holdings (other than the Borrower and any Immaterial Subsidiaries and Central Florida Medical Management Service Organization).

Subordinated Guarantor means Dxxx Xxxxxxxxxxxxx Luxembourg SARL or any permitted successor thereto or assignee thereof under the Subordinated Loan Agreement.

Subordinated Guarantor means any guarantor of the Junior Debt that is also a guarantor of the Senior Debt.

Subordinated Guarantor means the Parent or any member of the Group in its capacity as provider of a subordinated guarantee in relation to all or any of the HY Notes, provided always that such person has also granted a guarantee in respect of the Senior Obligations and has acceded to this Agreement in accordance with Clause 22.3 (Accession of Parties) if it is not already a Party as a Subordinated Guarantor.
