Subscription Receipt definition

Subscription Receipt means a subscription receipt of the Corporation entitling the holder thereof to receive, upon the occurrence of the release event set forth in the Subscription Receipt Underwriting Agreement, and without payment of any additional consideration, on the exchange thereof, one Common Share as more fully described in the Subscription Receipt Underwriting Agreement;

Subscription Receipt has the meaning ascribed thereto in Section 2.1 hereof;

Subscription Receipt means any money received by the Company as consideration for the allotment and issue to any person of shares in the share capital of the Company;

Examples of Subscription Receipt in a sentence

• The Subscription Receipt Agent will disburse monies according to this Agreement only to the extent that monies have been deposited with it.

• In the event that any funds to be disbursed by the Subscription Receipt Agent in accordance herewith are received by the Subscription Receipt Agent in the form of an uncertified cheque or cheques, the Subscription Receipt Agent shall be entitled to delay the time for disbursement of such funds hereunder until such uncertified cheque or cheques have cleared in the ordinary course of the financial institution upon which the same are drawn.

• Of the amount of interest, if any, earned by the Subscription Receipt Agent on such deposited monies, the Subscription Receipt Agent shall credit to the Escrow Account an amount that is equal to 0.25 percent less than the target overnight rate of interest announced from time to time by the Bank of Canada, converted to a daily rate, and applied to the Escrowed Funds, calculated daily.

• The Corporation shall also cause to be kept by the Subscription Receipt Agent at the Designated Office the register of transfers, and may also cause to be kept by the Subscription Receipt Agent, branch registers of transfers in which shall be recorded the particulars of the transfers of Subscription Receipts, registered in that branch register of transfers.

• This section shall survive the resignation of the Subscription Receipt Agent and/or the termination of this Agreement.

More Definitions of Subscription Receipt

Subscription Receipt has the meaning ascribed thereto in the first paragraph of this Agreement;

Subscription Receipt means a coupon that has printed on it the information mentioned in section 11.
