Substantial Completion Payment Date definition

Substantial Completion Payment Date means the date that is the tenth (10th) Business Day following the date on which the conditions set forth in Article XXIII (Conditions to Substantial Completion Payment Date), other than those conditions that by their nature are to be satisfied on the Substantial Completion Payment Date, have been either satisfied or waived by Buyer, or on such other date as the Parties may mutually agree in writing.
Substantial Completion Payment Date means either the East Substantial Completion Payment Date or West Substantial Completion Payment Date, as applicable.

  • Any dispute regarding a Change Notice for Force Majeure or Buyer-Caused Delay submitted by Seller to Buyer (including any provisional Change Order under this Section 8.6(b)) prior to the Substantial Completion Payment Date must be resolved between Seller and Buyer prior to the Substantial Completion Payment Date.

  • The Substantial Completion Payment Date shall be extended day for day for each day that the Project Performance Test Results show that the Minimum Performance Test Requirements have not been achieved.

  • From and after the Substantial Completion Payment Date, each Party’s liability for indemnity for breach of representations and warranties will be limited to 15% of the Unadjusted Purchase Price, provided that this limitation will not apply to fraud, willful misconduct, or such Party’s fundamental representations.

  • The balance of the purchase price, less a holdback securing the completion of agreed punch list items, will be payable at the Substantial Completion Payment Date.

  • Seller’s environmental representations will survive until thirty-six (36) months after the Substantial Completion Payment Date.

  • Substantial Completion Date means the date on which Substantial Completion occurs.

  • Completion Payment means the payment for the 20% of the Charges for each Apprenticeship that under the ESFA Rules is only paid once an Apprentice takes their end point assessment, including as the case may be Apprenticeships funded by Transferred Levy Funds;

  • Final Completion Date means the date on which Final Completion occurs.

  • Completion Date means the date of completion of the Services by the Service Provider as certified by the Procuring Entity

  • Guaranteed Substantial Completion Date or “Guaranteed Substantial Completion Dates” has the meaning set forth in Section 5.3B.

  • Substantial Completion Certificate means the certificate issued and approved by the Authority indicating the date upon which the Trade Contractor Work (or a designated portion thereof) is Substantially Complete.

  • Project Completion Date means the date on which the Completion Certificate is issued;

  • project completion period means the period of sixty (60) months commencing from and expiring on for the construction and obtaining of Temporary Occupation Permit or Permits for the whole of the Development as provided in clause 3.3;

  • Target Completion Date has the meaning given such term in Section 3.3(b).

  • Final Completion means the date determined and certified by A/E and Owner on which the Work is fully and satisfactorily complete in accordance with the Contract.

  • The Completion Date means the date of completion of the Works as certified by the Employer’s Representative.

  • Construction Completion Date means the Completion Date of the Construction as specified in the Statutory Declaration of Completion for the Project;

  • Completion Period means the period starting from the date of issue of "Order" and required to complete the work in all respect.

  • Scheduled Completion Date shall be the date set forth in Clause 10.3;

  • Completion Notice means a notice issued by the Developer in accordance with clause 6.1.

  • Construction Completion Certificate means a certificate of the I-Bank to the effect that the construction of the Project is complete.

  • Payment Commencement Date means the date payments of amounts deferred begin pursuant to Article III, Section 6.

  • Basic Rent Payment Date means Basic Rent Payment Date as defined in Paragraph 6.

  • Lease Payment Date means, with respect to any Interest Payment Date, the 5th Business Day immediately preceding such Interest Payment Date.

  • Termination Payment Date means the date on which the RECIPIENT is required to repay to ECOLOGY any outstanding balance of the loan and all accrued interest.

  • Rent Payment Date means each date on which an installment of rent is due and payable pursuant to Section 5(a) hereof.

  • Substantial compliance means a level of compliance with these rules where any deficiencies pose no greater risk to resident health or safety than the potential for causing minor harm.

  • Construction Period means the period commencing from the Appointed Date and ending on the date of the Completion Certificate;

  • Virtual Completion means the premise is in the opinion of the Employer fit for occupation.
