Substitute Cash Management Accounts definition

Substitute Cash Management Accounts shall have the meaning set forth in Section 9.1(b) hereof.

Substitute Cash Management Accounts which Substitute Cash Management Accounts shall be subject to the same terms and conditions applicable under the Mortgage Loan Documents, the Mezzanine A Loan Documents, the Mezzanine C Loan Documents and the Mezzanine B Loan Documents, (ii) execute any amendments to this Agreement and/or the Loan Documents relating to the Substitute Cash Management Accounts required by Lender and shall cause Mortgage Borrower, Mezzanine B Borrower, Mezzanine C Borrower and Mezzanine A Borrower to acknowledge and agree to the same, and (iii) remit to Lender (and shall cause Mortgage Borrower, Mezzanine B Borrower, Mezzanine C Borrower and Mezzanine A Borrower to remit to Lender) any amounts remaining in the Waived Cash Management Accounts.

Examples of Substitute Cash Management Accounts in a sentence

  • Borrower shall pledge the Substitute Cash Management Accounts to Lender as additional collateral for the Loan such that Lender has the same legal and economic rights and remedies as Mortgage Lender under the Mortgage Loan Cash Management Provisions, including, without limitation, the Cash Management Agreement and Section 9.3 of the Mortgage Loan Agreement.

  • For the avoidance of doubt, Borrower shall not be required to establish or maintain any Substitute Cash Management Accounts so long as Mortgage Lender is maintaining the Mortgage Loan Cash Management Accounts in accordance with the Mortgage Loan Agreement.

  • In the event that the Mortgage Lender or Mezzanine A Lender, as applicable, subsequently reinstates all or any Waived Cash Management Accounts, then the Lender shall cooperate to transfer such funds in the Substitute Cash Management Accounts to the Mortgage Lender or Mezzanine A Lender, as applicable, and Borrower shall no longer be required to deposit funds into such Substitute Cash Management Accounts until such time as any such Waived Cash Management Accounts subsequently exists.

  • For the avoidance of doubt, Borrower shall not be required to establish or maintain any Substitute Cash Management Accounts so long as Mortgage Lender or any Mezzanine Lender, as applicable, is maintaining the Mortgage Loan Cash Management Accounts, Mezzanine A Cash Management Accounts or Mezzanine B Cash Management Accounts, as applicable, in accordance with the Mortgage Loan Agreement, Mezzanine A Loan Agreement or Mezzanine B Loan Agreement, as applicable..

  • For the avoidance of doubt, Borrower shall not be required to establish or maintain any Substitute Cash Management Accounts so long as Mortgage Lender or Mezzanine A Lender, as applicable, is maintaining the Mortgage Loan Cash Management Accounts or Mezzanine A Cash Management Accounts, as applicable, in accordance with the Mortgage Loan Agreement or Mezzanine A Loan Agreement, as applicable.

  • In the event that the Mortgage Lender subsequently reinstates all or any Waived Cash Management Accounts, then the Lender shall cooperate to transfer such funds in the Substitute Cash Management Accounts to the Mortgage Lender, and Borrower shall no longer be required to deposit funds into such Substitute Cash Management Accounts until such time as any such Waived Cash Management Accounts subsequently exists.

  • The Borrower has no Subsidiaries other than those specifically disclosed in Part (a) of Schedule 5.13 and has no equity investments in any other corporation or entity other than those specifically disclosed in Part(b) of Schedule 5.13.

  • In the event that the Mortgage Lender subsequently reinstates all or any Waived Cash Management Accounts, then the Lender shall cooperate to transfer such Substitute Cash Management Accounts to the Mortgage Lender, and Borrower shall no longer be required to deposit funds into such Substitute Cash Management Accounts until such time as any such Waived Cash Management Accounts subsequently exists.

  • Cash Management Accounts means the bank accounts of each Loan Party maintained at one or more Cash Management Banks listed on Schedule 8.01.

  • Cash Management Agreements means those certain cash management agreements, in form and substance satisfactory to Agent, each of which is among the applicable Credit Party, Agent, and one of the Cash Management Banks.

  • Secured Cash Management Obligations means Obligations under Secured Cash Management Agreements.

  • Collateral Accounts means any and all accounts established and maintained by the Pledgee in the name of any Pledgor to which Collateral may be credited.

  • Cash Management Obligations means obligations owed by the Borrower or any Restricted Subsidiary to any Lender or any Affiliate of a Lender in respect of any overdraft and related liabilities arising from treasury, depository and cash management services or any automated clearing house transfers of funds.

  • Cash Management Arrangements means all cash management arrangements pursuant to which Honeywell or its Subsidiaries automatically or manually sweep cash from, or automatically or manually transfer cash to, accounts of SpinCo or any member of the SpinCo Group.

  • Cash Management Order means an order of the Bankruptcy Court, in form and substance acceptable to the Required Lenders, (i) approving and authorizing the Loan Parties to use existing cash management system, (ii) authorizing and directing banks and financial institutions to honor and process checks and transfers, (iii) authorizing continued use of intercompany transactions, (iv) waiving requirements of Section 345(b) of the Bankruptcy Code and (v) authorizing the Loan Parties to use existing bank accounts and existing business forms.

  • Cash Management Obligation means, as applied to any Person, any direct or indirect liability, contingent or otherwise, of such Person under or in respect of a Cash Management Agreement.

  • Operating Accounts shall have the meaning ascribed to it in Section 4.03.A.

  • Designated Accounts means any and all unsecured credit facilities (including without limitation unsecured card or non-card credit facility) that you have with the Participating FIs and excludes joint accounts, any renovation loan, education loan, credit facility granted for businesses or business purposes and such other credit facility that is excluded under the MAS regulations relating to unsecured credit facilities to individuals.

  • Concentration Accounts has the meaning ascribed to it in Annex C.

  • Excluded Deposit Accounts means, collectively, (i) payroll and payroll taxes accounts, workers’ compensation accounts and other employee wage and benefit payment accounts and xxxxx cash accounts, (ii) trust accounts and (iii) deposit accounts other than Collection Accounts and Collateral Deposit Accounts (as each such term is defined in the Revolving Credit Agreement), so long as the aggregate amount on deposit in all such deposit accounts does not exceed $2,500,000 in the aggregate at any time.

  • Cash Manager means Northern Rock or such other person or persons for the time being acting, pursuant to the Cash Management Agreement, as agent for the Mortgages Trustee, Funding and (following enforcement of the Funding Security) the Security Trustee for the purposes of, inter alia, managing all cash transactions and maintaining certain ledgers on behalf of the Mortgages Trustee, Funding and (following enforcement of the Funding Security) the Security Trustee;
