Substitute Entity definition

Substitute Entity means the entity defined in the Substitution Agreement.

Substitute Entity any Person nominated to replace the Private Party in this PPP Agreement and who has entered into the requisite agreements, all in accordance with the procedures set out in Clause 18 hereof;

Examples of Substitute Entity in a sentence

• Immediately following the agreement by the Lenders pursuant to Clause 18.2.2 or by SANParks pursuant to Clause 18.2.1 in respect of the nomination of the Substitute Entity, this PPP Agreement shall be ceded and delegated to such Substitute Entity and the Lenders shall procure that the Substitute Entity assumes all the obligations of the Private Party under the Loan Agreements as at the date of substitution.

• Any such Substitute Entity shall have the legal, financial and technical capability reasonably necessary to perform the obligations of the Concessionaire in accordance with the terms of this Agreement.

• Any such Substitute Entity shall be nominated in accordance with the procedure as set out in the Substitution Agreement.

• However, one share of the issued and outstanding shares of Capital Stock of Newco or the Substitute Entity may be held by TWG so long as such share is pledged by TWG to the Trustee to secure repayment of the Finance Note.

• Where a licence is granted to the Authority by or in consequence of this sub-clause such use will include access to and copying of any or all of the said material during the Contract Period, and thereafter, save that such use or copying shall be only for the purpose of maintaining and operating the Prison or procuring the same, whether by a Substitute Entity or any other person.
