Super Senior RCF definition

Super Senior RCF means the Original Super Senior RCF (including any fees, underwriting discount premiums and other costs and expenses incurred with such financing) (as amended from time to time) or any other revolving facilities for working capital purposes or general corporate purposes used to replace the Original Super Senior RCF or any refinancing of such debt in accordance with the Intercreditor Agreement.

Super Senior RCF means any revolving capital facility or similar agreement incurred pursuant to the Section titled "Super Senior RCF" or any other revolving capital facility agreement or similar agreement providing financing for general corporate purposes (including investments) and/or working capital purposes between any Group Company and a Super Senior RCF Creditor replacing a super senior revolving capital facility in accordance with the Section titled "Replacement of Debt".

Super Senior RCF means (i) the Original Super Senior RCF (including any fees, underwriting discount premiums and other costs and expenses incurred with such financing) (as amended from time to time) or (ii) any other working capital facility agreement or similar agreement providing financing for general corporate purposes between any member of the Group replacing a super senior revolving credit facility in accordance with Clause 11.3 (Super Senior RCF refinancing) of the Intercreditor Agreement.

Examples of Super Senior RCF in a sentence

• In case of enforcement of the Shared Security, any enforcement proceeds will first be applied towards repayment of the Financial Indebtedness incurred by the Issuer under the Super Senior RCF and the Super Senior Xxxxxx and secondly towards redemption of the Bonds.

• RCF in case of insolvency In the case of insolvency of the Issuer, the Financial Indebtedness incurred by the Issuer under the Bonds will be subordinated to the Financial Indebtedness owed by the Issuer under the Super Senior RCF and the Super Senior Xxxxxx, in accordance with the terms of the Intercreditor Agreement.

• In the case of insolvency of the Issuer, the Financial Indebtedness incurred by the Issuer under the Bonds will be subordinated to the Financial Indebtedness owed by the Issuer under the Super Senior RCF and the Super Senior Xxxxxx, in accordance with Clause 15.1 (Order of Application) in the Intercreditor Agreement.

• For the avoidance of doubt, any Transaction Security or Guarantee will always be released in such way which does not affect the sharing between the Bondholders, the Super Senior RCF providers and the Super Senior Hedge providers of the remaining Transaction Security and Guarantees and/or the ranking and priority of the Bondholders, the Super Senior RCF providers and the Super Senior Hedge providers as specified in the Intercreditor Agreement.

• If Conflicting Enforcement Instructions (as defined in the Intercreditor Agreement) are provided by the Agent or the agent under the Super Senior RCF the Agent and the agent under the Super Senior RCF must enter into consultations for a period of maximum 30 calendar days as set out in the Intercreditor Agreement (unless such consultation is waived by the Agent and the agent under the Super Senior RCF).

More Definitions of Super Senior RCF

Super Senior RCF means any credit facility or facilities provided to the Issuer for general corporate purposes of the Group (and any refinancing, amendment or replacements thereof), amended from time to time (as the case may be), in an aggregate amount not exceeding USD 10,000,000 (or its equivalent in any other currency or currencies).

Super Senior RCF means the Original Super Senior RCF (including any fees, underwriting discount premiums and other costs and expenses incurred with such financing) in an aggregate principal amount not at any time exceeding the higher of SEK 200,000,000 and 0.5x EBITDA of the Group pursuant to the most recent delivered audited annual report, and any general corporate and working capital facilities used to refinance the Original Super Senior RCF or any refinancing of such debt in accordance with the Intercreditor Agreement, for the avoidance of doubt such refinancing not to

Super Senior RCF means the Working Capital Facility (including any fees, underwriting discount premiums and other costs and expenses incurred with such financing) (as amended from time to time) or any other revolving facilities for working capital purposes or general corporate purposes used to replace the Working Capital Facility or any refinancing of such debt in accordance with the Intercreditor Agreement, provided that the Working Capital Facility Provider has entered into the Intercreditor Agreement.

Super Senior RCF means any working capital facility or similar agreement providing financing for general corporate purposes of the Group (excluding acquisitions) between any Group Company and a Super Senior Creditor.

Super Senior RCF has the meaning given thereto in the Issuer Intercreditor Agreement.

Super Senior RCF means:the SEK 350,000,000 super senior revolving credit facility provided by Swedbank AB (publ) on or about the Closing Date; orany other facility or facilities provided to the Group for general corporate purposes of the Group (and any refinancing, amendment or replacements thereof), amended from time to time (as the case may be),in an aggregate principal amount not at any time exceeding the higher of:
