Supporting Persons definition

Supporting Persons means those Persons who have executed Support Agreements and are identified in Section 3.05(f) of the Company Disclosure Schedule.
Supporting Persons has the meaning set forth in Section 5.11.
Supporting Persons means Parent and the following individuals, and any Person who holds Company Common Stock for the beneficial ownership (as defined in Rule 13d-3 adopted by the SEC under the Exchange Act) of such Person: Xxxxx Xxxxxxxx and Xxxx Xxxxxx.

More Definitions of Supporting Persons

Supporting Persons means, collectively, the Nominating Person along with the beneficial owner(s), if different, on whose behalf the nominations are made, or anyone who may solicit votes or proxies for a Stockholder Nominee.

Related to Supporting Persons

  • Specified Persons means the Directors, connected persons, the insiders, the Designated Employees and the promoters and immediate relatives are collectively referred to as Specified Persons.

  • Controlling Persons means the natural persons who exercise control over an Entity. In the case of a trust, such term means the settlor, the trustees, the protector (if any), the beneficiaries or class of beneficiaries, and any other natural person exercising ultimate effective control over the trust, and in the case of a legal arrangement other than a trust, such term means persons in equivalent or similar positions. The term “Controlling Persons” shall be interpreted in a manner consistent with the Financial Action Task Force Recommendations.
