Sustainability Coordinators definition

Sustainability Coordinators means each of BofA Securities, Inc. and any other Person appointed by KBR, with the consent of BofA Securities, Inc., each in its capacity as a sustainability coordinator.

Sustainability Coordinators means one or more sustainability coordinators to be determined (it being understood and agreed that each such sustainability coordinator shall be a Lender (or an affiliate of a Lender) and shall be reasonably satisfactory to the Administrative Agent), in each case in their respective capacity as a sustainability coordinator.

• After the Closing Date, the Company, in consultation with the Sustainability Coordinators, shall be entitled to establish specified Key Performance Indicators (“KPIs”) with respect to certain Environmental, Social and Governance (“ESG”) targets of the Company and its Subsidiaries.

• The Sustainability Coordinators and the Company may propose to amend this Credit Agreement (such amendment, the “ESG Amendment”) solely for the purpose of incorporating the KPIs and other related provisions (the “ESG Pricing Provisions”) into this Credit Agreement, and any such amendment shall become effective when the Majority Banks have delivered to the Administrative Agent (who shall promptly notify the Company) written notice that such Majority Banks accept such ESG Amendment.

• The pricing adjustments pursuant to the KPIs will require, among other things, reporting and validation of the measurement of the KPIs in a manner that is aligned with the Sustainability Linked Loan Principles (as published in May 2020 by the Loan Market Association, Asia Pacific Loan Market Association and Loan Syndications & Trading Association) and is to be agreed between the Company and the Sustainability Coordinators (each acting reasonably).

• The Sustainability Coordinators will (i) assist the Borrowers in determining the ESG Pricing Provisions in connection with the ESG Amendment and (ii) assist the Borrowers in preparing informational materials focused on ESG to be used in connection with the ESG Amendment.

• The Borrowers jointly and severally in accordance with Section 10.12 shall pay to the Arrangers, the Sustainability Coordinators and the Administrative Agent for their own respective accounts fees in the amounts and at the times specified in the Fee Letters.
