Sustainability Metric Auditor means an internationally recognized “big four” auditing firm or a reputable sustainability assurance provider reasonably satisfactory to Administrative Agent and the Co-Sustainability Structuring Agents.
Sustainability Metric Auditor means NPV Associates, or any replacement sustainability metric auditor thereof as designated from time to time by the Borrower; provided that any such replacement Sustainability Metric Auditor (a) shall be (i) a qualified external reviewer (other than an Affiliate of the Borrower), with relevant expertise, such as an auditor, environmental consultant and/or independent ratings agency of recognized national standing or (ii) another firm designated by the Borrower and approved by the Administrative Agent, the Sustainability Structuring Agent and the Requisite Lenders, and (b) shall be (i) consistent with then generally accepted industry standards or (ii) if not so consistent, are proposed by the Borrower and approved by the Administrative Agent, the Sustainability Structuring Agent and the Requisite Lenders.
Sustainability Metric Auditor means Apex Companies, LLC, or any replacement sustainability metric auditor thereof as designated from time to time by the Borrower; provided that any such replacement Sustainability Metric Auditor (a) shall be (i) a qualified external reviewer (other than an Affiliate of the Borrower), with relevant expertise, such as an auditor, environmental consultant and/or independent ratings agency of recognized national standing or (ii) another firm designated by the Borrower and approved by the Administrative Agent and the Required Lenders, and (b) shall apply auditing standards and methodology that are the same as or substantially consistent with the auditing standards and methodology used in the Borrower’s Sustainability Report for the Reference Year ending July 31, 2021, except for any changes to such standards and/or methodology that (x) are consistent with then generally accepted industry standards or (y) if not so consistent, are proposed by the Borrower and approved by the Administrative Agent and the Required Lenders.
Examples of Sustainability Metric Auditor in a sentence
In connection with delivery by Borrower of any Sustainability Grid Notice or Enhanced Sustainability Notice to Administrative Agent, Borrower shall simultaneously deliver a report from a Sustainability Metric Auditor confirming the certifications and calculations contained in such Sustainability Grid Notice or Enhanced Sustainability Notice.
In connection with delivery by Borrower of any Sustainability Certificate or Enhanced Sustainability Notice to Administrative Agent, Borrower shall simultaneously deliver a report from a Sustainability Metric Auditor confirming the certifications and calculations contained in such Sustainability Certificate or Enhanced Sustainability Notice (the “Sustainability Report”).
Any officer may resign at any time by giving written notice to the Corporation, but without prejudice to the rights, if any, of the Corporation under any contract to which the officer is a party.
This Sustainability Certificate is confirmed by the accompanying report of a Sustainability Metric Auditor or externally verified Corporate Responsibility Report attached hereto as Schedule I.
The Administrative Agent may rely conclusively on any Sustainability Grid Notice delivered by the Borrower and/or any report of a Sustainability Metric Auditor accompanying such Sustainability Grid Notice without any responsibility to verify the accuracy thereof.

Sustainability Metric Auditor means Ernst & Yxxxx (E&Y), or any replacement sustainability metric auditor thereof as designated from time to time by the Borrower; provided that any such replacement Sustainability Metric Auditor (a) shall be (i) a qualified external reviewer (other than an Affiliate of the Borrower), with relevant expertise, such as an auditor, sustainability consultant and/or independent ratings agency of recognized national standing or (ii) another firm designated by the Borrower and approved by the Administrative Agent, the Sustainability Structuring Agent and the Required Lenders, and (b) shall apply auditing standards and methodology that (x) are consistent with then generally accepted industry standards or (y) if not so consistent, are proposed by the Borrower and approved by the Administrative Agent, Sustainability Structuring Agent, and the Required Lenders.
