Symphony Dynamo Equity Securities means the Common Stock and any other stock or shares issued by Symphony Dynamo.

  • All of the issued and outstanding Symphony Dynamo Equity Securities (A) have been duly authorized and validly issued and are fully paid and nonassessable, (B) were issued in compliance with all applicable state and federal securities laws, and (C) were not issued in violation of any preemptive rights or rights of first refusal.
