System Service means a service that the Owner elects to receive from the Company which relates to the operation and benefit of the functionality of the System by the Owner, and which the Company shall supply to the Owner in accordance with a System Services Agreement.

• The Plan Processor in conjunction with the Operating Committee shall regularly review and, as necessary, update the SLAs, in accordance with the terms of the SLAs. • Failure of Gatherer to exercise its right to terminate this Agreement or suspend or reduce any System Service as provided in this Section 18.2 shall not constitute a waiver by Gatherer of any rights or remedies Gatherer may have under this Agreement, applicable Law, or otherwise.

• All right, title, and interest in and to the System Service, including, without limitation, all copyrights, trade secret rights, and other intellectual property rights pertaining in and to the System Service shall remain vested in PCG and its third-party licensors.

• Your use of any System Service may also be affected by the agreements between you and the Bank for your deposit and other types of accounts.

• This Non-Return Fee is in addition to any fees related to point-of-sale equipment provided under a POS System Service Agreement.
