Systems Contracts definition

Systems Contracts means and refer to all Contracts (other than such Party's Systems Franchises and Systems Licenses) that are included among such Party's Assets, including the lease agreements for such Party's Tangible Personal Property, pole attachment agreements, underground conduit agreements, crossing agreements, retransmission consent agreements, multiple dwelling, bulk billing or commercial service agreements and the Contracts documenting such Party's Leased Property described on SCHEDULE 1.14. Reference to PARTY A Systems Contracts shall be deemed to refer to the Systems Contracts of PARTY A, and reference to PARTY B Systems Contracts shall be deemed to refer to the Systems Contracts of PARTY B, in each case, as included among such Party's Assets.
Systems Contracts means any and all (i) pole line and joint line agreements, underground conduit agreements, crossing agreements, bulk or commercial service or multiple dwelling unit agreements, and retransmission consent agreements, (ii) other Contracts which contemplate payments by or to any MNH Entity exceeding $50,000 in any 12-month period or $100,000 in the aggregate, and (iii) other Contracts that are material to the operation of the Systems taken as a whole (other than the Systems Franchises).
Systems Contracts means the licencing, maintenance and support contracts and contractual arrangements of the Vendor in relation to the computer hardware utilised by the Employees in respect of the Business, details of which are set out in the Disclosure Letter and the DSSS Software Licence;

  • All sales, use or excise Taxes arising from or payable by reason of the transfer of each Party's Assets ("Transfer Taxes") and all transfer and similar taxes or assessments, including transfer fees and similar assessments for or under Systems Franchises, Systems Licenses and Systems Contracts, arising from or payable by reason of the conveyance of each Party's Assets will be borne equally by each Party.

  • Assets shall include Tangible Personal Property, Owned Property, Leased Property, Other Real Property Interests, Systems Franchises, Systems Licenses, Systems Contracts, Books and Records and Other Intangibles.

  • Reference to PARTY A Systems Contracts shall be deemed to refer to the Systems Contracts of PARTY A, and reference to PARTY B Systems Contracts shall be deemed to refer to the Systems Contracts of PARTY B, in each case, as included among such Party's Assets.

Systems Contracts means, collectively, (i) IRU Contracts, (ii) Maintenance and Collocation Contracts, and (iii) the Tier-1 Contracts and other Capacity Contracts, in each case, together with the schedules, exhibits and the applicable service order forms or equivalent thereto.
Systems Contracts means the Continental Systems Contracts or TCICP Systems Contracts, as the context requires.

  • Project Contracts means collectively this Agreement, the Land Lease Agreement, the Construction Contract, O&M Contracts (if any) and any other material contract (other than the Financing Documents) entered into or may hereafter be entered into by the Concessionaire in connection with the Project;

  • Service Contracts means contracts or agreements, such as maintenance, supply, service or utility contracts.

  • Supply Contracts means contracts having as their object the purchase, lease, rental or hire-purchase, with or without an option to buy, of products. A supply contract may include, as an incidental matter, siting and installation operations;

  • Customer Contracts has the meaning set forth in Section 1.1(b)(ii)(A).

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

The Interconnection Agreements shall address cost responsibilities among entities other than the Distribution Company and the other RFP Sponsors and shall include provisions, both technical and otherwise, for safe and reliable interconnected operations of the HVDC Transmission Project following Commercial Operation (including use of the HVDC Transmission Project for the delivery of electric power in emergency circumstances).

  • Services Contract means an agreement for the provision of Services entered into with a Provider by one or more of the Partners in accordance with the relevant Individual Scheme. Service Users means those individual for whom the Partners have a responsibility to commission the Services. SOSH means the Secretary of State for Health.

  • Procurement Contract or “Contract” means any written agreement of the Authority for the acquisition of goods or services of any kind in the actual or estimated amount of $25,000, or more.

  • Project Contract means a Project Contract as such term is defined in the RfP; “Proposal” means a Proposal as such term is defined in the RfP;

  • Infrastructure facility means a building; structure; or networks of buildings, structures, pipes, controls, and equipment, or portion thereof, that provide transportation, utilities, public education, or public safety services.   • Related Contracts is defined in clause (c) of Section 2.1.

  • Subcontracts means “Seller’s lower-tier subcontracts” (Note: “Subcontract” includes a transfer of commercial items between divisions, subsidiaries, or affiliates of the Contractor or subcontractor at any tier.); and

  • Intellectual Property Contracts means all agreements concerning Intellectual Property, including without limitation license agreements, technology consulting agreements, confidentiality agreements, co-existence agreements, consent agreements and non-assertion agreements.

  • Central Contracts and Legal Services means the DSHS central headquarters contracting office, or successor section or office.

  • Existing Contracts means the existing licenses and contracts given by the Railway Administration / Authority, in relation to commercial establishments, as existing on Station Development Land, as on the date of the Agreement, and as further set out in the Schedules, which shall, for avoidance of doubt, exclude any licenses and/ or contracts in relation to any Excluded Activities and/or Railway Operational Activities;

  • Personal services contract means a contract that, by its express terms or as administered, makes the contractor per- sonnel appear to be, in effect, Government employees (see 37.104).
