Tag Offer Notice definition

Tag Offer Notice has the meaning specified in Section 3.04(d).
Tag Offer Notice has the meaning given to it in Clause 20.1 ; "Tag Purchaser" has the meaning given to it in Clause 20.1; "Tag Transferor(s)" has the meaning given to it in Clause 20.1;

  • The Rights Party must elect whether to accept the offer set out in the Tag Offer Notice by the Offeror within ten (10) days of the date of such offer (the “Tag Period”) by executing and delivering a written notice to the Selling Party and the Offeror.

  • The Promoter Tag Offer Notice shall specify the terms of the proposed sale including the purchase price, details of the proposed purchaser and the proposed Transfer date and specify whether such Transfer by the Investor will result in the transferee acquiring Control of the Company.

  • If a Tag Offer Notice is given, within 10 Business Days following receipt of the Tag Offer Notice, any Remaining Shareholder can by written notice require the Tag Offeree to procure that an equal Sale Percentage of that Remaining Shareholder's Shares are purchased by the Tag Offeror (Tag Along Notice) at the same price and otherwise on the same terms specified in the Tag Offer Notice.

  • If, despite the Tag Offeree’s reasonable endeavours, the Tag Offeror refuses to purchase the Shares specified in the Tag Long Notice, then the Tag Offeree must not transfer any Shares which are the subject of the Tag Offer Notice to the Tag Offeror and each Tag Along Notice lapses.

  • If the Tag Offeror does not give a Tag Offer Notice to the Remaining Shareholders within 10 Business Days of receipt of a Tag Offer, the Tag Offeree must not accept the Offer.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Offer Shares means the Hong Kong Offer Shares and the International Offer Shares being offered at the Offer Price under the Global Offering together with any additional Shares to be issued pursuant to the exercise of the Over-Allotment Option;

  • First Offer has the meaning set forth in Section 3.9(e)(1) or Section 11.1(b)(i), as applicable.

  • Tag or “RFID tag” means the unique identification number or Radio Frequency Identification (RFID) issued to a licensee by the agency for tracking, identifying and verifying marihuana plants, marihuana products, and packages of marihuana product in the statewide monitoring system.

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Investor Notice means written notice from an Investor notifying the Company and the selling Key Holder that such Investor intends to exercise its Secondary Refusal Right as to a portion of the Transfer Stock with respect to any Proposed Key Holder Transfer.

  • Drag-Along Notice has the meaning set forth in Section 3.03(b).

  • Minimum Offering Notice means a written notification, signed by Broker, pursuant to which the Broker shall represent (1) that subscriptions for the Minimum Offering have been received, (2) that, to the best of Broker’s knowledge after due inquiry and review of its records, Cash Investment Instruments in full payment for that number of Shares equal to or greater than the Minimum Offering have been received, deposited with and collected by NCPS, (3) and that such subscriptions have not been withdrawn, rejected or otherwise terminated, and (4) that the Subscribers have no statutory or regulatory rights of rescission without cause or all such rights have expired.

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;
