Tag Offer Notice has the meaning specified in Section 3.04(d).

  • The Promoter Tag Offer Notice shall specify the terms of the proposed sale including the purchase price, details of the proposed purchaser and the proposed Transfer date and specify whether such Transfer by the Investor will result in the transferee acquiring Control of the Company.

  • An offer made under Article 25 shall be in writing ( Tag Offer Notice) and shall be open for acceptance for at least 15 Business Days, and shall be deemed to be rejected by any Member who has not accepted it in accordance with its terms within the time period prescribed for acceptance and the consideration thereunder shall be settled in full on completion of the purchase and within 15 Business Days of the date of the offer.
