Tagging Security Holder definition

Tagging Security Holder has the meaning given to it in paragraph 2.4 of Part 1 of Schedule 5 (Tag-Along);
Tagging Security Holder has the meaning set out in paragraph 2.2 of Part A of Schedule 3; Takeover Offer means, should the Acquisition be implemented by way of a takeover offer as defined in Chapter 3 of Part 28 of the Act, the offer to be made by or on behalf of the Company to acquire the entire issued and to be issued share capital of the Target and, where the context admits, any subsequent revision, variation, extension or renewal of such takeover offer;1

Examples of Tagging Security Holder in a sentence

  • If the Tag-Along Sale is not completed within the period set out in paragraph 3.1(b) above, the Tag Triggering Sellers shall promptly return to the Tagging Security Holder all documents (if any) previously delivered in respect of the Tag-Along Sale, and all the restrictions on Transfer contained in this Agreement with respect to Securities held or owned by the Tag Triggering Sellers and such Tagging Security Holder shall again be in effect.

  • If the Tag-Along Sale is not completed within the period set out in paragraph 3(a) above, the Fund Investor shall promptly return to each Tagging Security Holder all documents (if any) previously delivered by such Tagging Security Holder in respect of the Tag-Along Sale, and all the restrictions on Transfer contained in this Agreement with respect to Securities held or owned by the Fund Investor and such Tagging Security Holders shall again be in effect.

  • Each Tagging Security Holder shall be entitled to receive such Tagging Security Holder’s consideration pursuant to the Tag-Along Sale (less such Tagging Security Holder’s share of the costs of the Tag-Along Sale) at the same time as the Permira Investor receives its consideration.

Related to Tagging Security Holder

  • Security Holder means the holder of a Security.

  • Majority Holder as used in Section 7.4 hereof shall mean any holder or any combination of holders of Registrable Securities, if included in such holders' Registrable Securities are that aggregate number of shares of Common Stock (including Shares already issued and Shares issuable pursuant to the exercise of outstanding Warrants) as would constitute a majority of the aggregate number of Shares (including Shares already issued and Shares issuable pursuant to the exercise of outstanding Warrants) included in all the Registrable Securities.

  • Holder means a Person in whose name a Security is registered in the Security Register.

  • Eligible Holder means a Limited Partner whose (a) federal income tax status would not, in the determination of the General Partner, have the material adverse effect described in Section 4.9(a)(i) or (b) nationality, citizenship or other related status would not, in the determination of the General Partner, create a substantial risk of cancellation or forfeiture as described in Section 4.9(a)(ii).

  • Participating Investor any Participating Account, Participating Insurance Company or Participating Plan, including the Account and the Company.

  • Equity Holder means any Person that owns the Equity Interests in any Practice that is a party to any Management Agreement.

  • Preferred Holder means, with respect to a series of Preferred Units, a Record Holder of such series of Preferred Units.

  • Transferring Stockholder has the meaning assigned to such term in Section 3.4(a).

  • Note A-9 Holder means the Initial Note A-9 Holder or any subsequent holder of Note A-9, as applicable.

  • Note A-8 Holder means the Initial Note A-8 Holder or any subsequent holder of Note A-8, as applicable.

  • Series A Holder means a Record Holder of the Series A Preferred Units.

  • Holder or Unit Holder means the investor for the time being entered in the Register as owner of a Unit including investors jointly so registered pursuant to the provisions of the Trust Deed.

  • Other Holder has the meaning specified in Section 2.2(b).

  • Third Party Purchaser has the meaning set forth in Section 3.3.

  • Note A-7 Holder means the Initial Note A-7 Holder or any subsequent holder of Note A-7, as applicable.

  • Transferring Shareholder has the meaning set out in Section 6.1; and

  • Non-U.S. Holder means a Holder that is not treated as a United States person for U.S. federal income tax purposes as defined under Section 7701(a)(30) of the Internal Revenue Code of 1986, as amended from time to time.

  • Series B Holder means a Record Holder of the Series B Preferred Units.

  • Noteholder Purchase Notice has the meaning assigned to such term in Section 12.

  • Majority Holders means the Holders of a majority of the aggregate principal amount of Securities registered under a Registration Statement.

  • Note A-6 Holder means the Initial Note A-6 Holder or any subsequent holder of Note A-6, as applicable.

  • Principal Holder means a person who, directly or indirectly, beneficially owns or controls 10% or more of any class of voting securities of the Corporation.

  • Requesting Investor has the meaning set forth in Section 7.5 of the Indenture.

  • body in which the relevant person has a beneficial interest means a firm in which the relevant person is a partner or a body corporate of which the relevant person is a director, or in the securities of which the relevant person has a beneficial interest;

  • Selling Holder means a Holder who is selling Registrable Securities pursuant to a registration statement.

  • Ineligible Holder is defined in Section 4.8(c).
