  • Target and Target Sub have obtained each governmental consent, license, permit, grant or other authorization of a Governmental Entity that is required for the operation of the Business of Target and Target Sub (collectively, the "Target Authorizations"), and all of such Target Authorizations are in full force and effect except where failure to obtain such Target Authorization would not have a Material Adverse Effect on Target or Target Sub.
