Save as otherwise agreed with that Seller (such agreement not to be unreasonably withheld), the offer to be made will be on the same terms and conditions (including as to period of continuous employment) as were provided to that Target Business Employee immediately prior to the Closing Date.
The German Target does not have a works council (Betriebsrat) and no Target Business Employee is represented by any labor union, works council, economic committee or any other labor representative.

Section 4.12(a) of the Sellers Disclosure Schedule separately identifies each Target Benefit Plan that covers any Target Business Employee employed or providing services to the Target Companies outside the United States (a “Target Foreign Benefit Plan”).

With respect to each Target Business Employee who is not an Active Employee (an “Inactive Employee”), CFPI, in accordance with applicable Law and any applicable collective bargaining agreement, shall make offers of employment (which shall include CFPI’s compliance with CFPI’s covenants set forth in this Section 5(h)) to each such Inactive Employee, effective as of the date on which such Inactive Employee presents himself or herself to CFPI for active employment following the Closing.
